Online Services - Terms and Conditions Agreement

These terms and conditions agreement ('Agreement') should be read, understood and accepted by You (as defined below) before using any of the Online Services provided hereunder. This is a legally binding contract between You and Sukoon Takaful PJSC (hereinafter referred to as “Sukoon Takaful”) establishing the terms and conditions under which the Online Services may be used. This Facility is offered to You on the condition that You accept this Agreement without modification or reservation or qualification of or in respect of any of the terms, conditions and notices contained herein prior to using, accessing and/or browsing this Facility. The use of the Facility implies that You have fully read, understood and accepted these terms and conditions. These terms and conditions are in addition to the terms and conditions as applicable to You under your Plan terms and conditions and/or any other agreement if entered between You and Sukoon Takaful, wherein in the event of conflict between any terms and conditions of this Agreement and any other agreement, the terms and conditions of this Agreement shall supersede and prevail.

If (a) You are not the Customer or do not have the legal authority to bind the Customer or to act on behalf of the Customer, or (b) If you are not in agreement to any of the terms and conditions as mentioned in this Agreement, then you are instructed to discontinue and 'Decline' immediately these terms and conditions.

Now therefore , for good and valuable consideration , the sufficiency of which is hereby acknowledged,

The Parties agree as follows:

1                Definitions and Interpretation

1.1             Definitions:  

In this Agreement, the following words and phrases have the meanings set opposite them unless the context indicates otherwise:

Customer means any natural or legal person within UAE enquiring or applying for Takaful Plan or having been issued a Plan and/or wishes to conduct a Transaction through the Facility.

Confidential Information means all confidential information (howsoever recorded, preserved or disclosed) disclosed by Sukoon Takaful or its representatives to You, in connection with this Agreement anytime   including:

(a)         business strategies, business arrangements, computer and network operations, functions and systems architecture; or
(b)         any technical, financial or commercial information; or
(c)         any information that would be regarded as confidential by a reasonable person; or
but not including any information that:
(a)         is or becomes generally available to the public other than as a result of its disclosure by the Receiving Party or its representatives in breach of this Agreement or of any other undertaking of confidentiality addressed to the Party to whom the information relates (except that any compilation of public information in a form not publicly known shall nevertheless be treated as Confidential Information); or
(b)         the Parties agree in writing is not Confidential Information or may be disclosed; or
(c)         was available to the Receiving Party on a non-confidential basis prior to the disclosure by the Disclosing Party.

Disclosing Party means a Party to this Agreement which discloses directly or indirectly Confidential Information to the other party.

Facility means the use of and access to Sukoon Takaful Technology which enables You to conduct various Transactions including but not limited to view, read, enter Customer details and material information, enquire about Sukoon Takaful Products, complete and submit the Transaction Forms, pay contributions, print your Takaful Plan, invest/redeem/ switch Funds,  view your fund details, etc .

Intellectual Property means all current and future legal and/or equitable interests in copyrights, database rights, confidential information, stationary, stamps, logos , trademarks, patents, designs or other Intellectual Property rights

 

Sukoon Takaful Technology means the technology of Sukoon Takaful including but not limited to, the computer software and hardware; online access to websites, webpages , webchat facility, computer  software and/or hardware; programmes, data banks, accessories, electronic risk selection criteria, underwriting and ratings guidelines and manuals provided and/or accessed to by the User to enable him to perform its obligations as agreed to under this and/or other agreement(s) between the Parties.

 

Online Service means any or all of the functionalities and modules of the Facility available to You

 

Password or User Password means the secret code set and maintained by each User, which together with the User ID allows the User to access the Facility.

 

Personal Information means all or any of the information of provided by the User and/or the Customer to Sukoon Takaful during the Transaction including as in the Proposal Form, and as updated from time to time.

 

Plan means a plan of Takaful issued or to be issued by or on behalf of Sukoon Takaful to a Customer in accordance with Sukoon Takaful underwriting criteria;

 

Transaction Form refers to the details entered and submitted through the Facility for underwriting consideration of Sukoon Takaful along with any other data/information as available/provided to Sukoon Takaful; whether verbally or in writing (whether or not through the Facility). The details submitted through the Transaction Form will be the basis of issuance/amendment of any Takaful Plan to be/ issued by Sukoon Takaful to the Customer.

Products means the takaful products offered by Sukoon Takaful through this Facility.

Receiving Party means a Party to this Agreement that receives Confidential Information directly or indirectly from a Disclosing Party;

Service means any or all of the functionalities and modules of the Facility available to the User

 

Transaction means any transaction/enquiry initiated (whether or not concluded) by the User through the Facility, including but not limiting to  enquiring, generating any quotation and/or applying for Takaful Plan through the Facility, switching, investing, redeeming any Fund, view Funds' performance, generate various reports, statements, and/or any other instruction as provided by the User to Sukoon Takaful through such Facility

 

User ID means the unique identification code as assigned and/or chosen by the User to identify himself as the person authorising the Service and/or the Transaction in agreement to the terms of this Agreement

User/ You means the Customer and/or any individual accessing this Facility, and the word 'Your' will be construed accordingly.

 

1.2                  A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality) and that person's personal representatives, successors or permitted assigns. A reference to any 'Party' shall include that Party's personal representatives, successors or permitted assigns.
1.3                  A reference to a document is a reference to that document as varied, amended, extended, supplemented  or novated (in each case, other than in breach of the provisions of this Agreement) and shall include any document which is supplemental to or expresses to be collateral with or is entered into pursuant to , or in accordance with the terms of the Agreement. Any amendments, modifications, addendums to this Agreement shall form an integral part of this Agreement and shall be construed therewith.
1.4                  A references to a 'law' or 'regulation' shall be construed as encompassing any UAE   laws, regulations, decrees, rules or guidelines issued by a relevant governmental body, department, agency or regulatory as may apply to the subject matter of this Agreement
1.5                  Words in the singular shall include the plural and vice versa. A reference to one gender shall include a reference to the other genders.

 

2                     Use of Facility

2.1                  The Facility is deemed to be in use or is being accessed by You when it is loaded and/or continues to be loaded in temporary or permanent memory of Your computer or similar system or in the internet browser thereof.
2.2                  Should You require any further clarification or support at any stage on the Facility including the Transaction, You are instructed not to proceed and to contact the support/contact numbers of Sukoon Takaful and/or its service provider for further assistance
2.3                  You expressly agree that You will not impersonate any individual/entity while using this Facility. Your use of the Facility is solely for enquiring and/or applying and/or printing/amending specific takaful Plan only and such use of the Facility is at Your sole risk. The Facility is provided on an "as is" and "as available" basis. You agree to abide by all UAE laws while using the Facility including while posting any enquiry on the web-chat module, if any.
2.4                  You will be responsible for providing and maintaining the communications equipment (including personal computers and modems) and telephone or alternative services required at Your end for accessing and using the Facility, and for all communications service fees and fees incurred by You in accessing or availing the Facility.
2.5                  You hereby irrevocably authorize Sukoon Takaful to accept and act upon Transactions instructed  to Sukoon Takaful and You will be bound by all such instructions and Transactions initiated or concluded through the Facility including submission of Proposal Form , payment of all related contributions, fees, expenses as required or requested by Sukoon Takaful
2.6                  You accept that the cut-off time for a business day is the same as Sukoon Takaful normal business hours in the UAE from Monday to Friday. All requests received after the cut-off time or on a bank holiday will be deemed to have been received on the following business day.
2.7                   You agree that Sukoon Takaful shall in no circumstances be liable for any loss or damage arising from requests submitted to Sukoon Takaful where the time of receipt of such requests by Sukoon Takaful does not fall during the normal business timings of Sukoon Takaful.
2.8                  You accept that any Transaction will only be completed as and when the process is successfully concluded and thereafter acknowledged by Sukoon Takaful.
2.9                  In consideration for access to the Facility and for Your use of the Facility, You agree to, provide true, accurate, and current and complete information and data and all other information as prompted or required by the Facility.
2.10                If You provide any information that is untrue, inaccurate, not current or incomplete, or not kept current, or if Sukoon Takaful has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Sukoon Takaful has the right to suspend or terminate the Facility and/or Your quotation and/or Your Plan (if issued) and/or Your access to the Facility (or any portion thereof).
2.11                In the event that any untrue or inaccurate information or information not current or complete has formed the basis of any Transactions including issuance of Plan, the said Transactions shall be either voidable at the option of Sukoon Takaful, or wherever applicable or necessary void ab-initio. In the event of not providing true, correct and complete data and information the Facility could also fail or be deficient.
2.12                You hereby undertake to have clearly understood and to be in agreement that:
(i)     If any detail mentioned and/or declared to Sukoon Takaful through the Facility including the submitted Proposal Form is found fraudulent and/or unfounded, Sukoon Takaful reserves its right to forfeit all benefits payable under the Plan and/or consider the Plan as void/void ab-initio at Sukoon Takaful sole discretion without recourse to the Customer.
(ii)    The observance by the Customer of the terms of the issued Takaful Plan and the truth of statements and answers by You/the Customer in the Proposal Form and/or any other material information provided through the Facility shall be condition precedent to any liability of Sukoon Takaful. If the circumstances in which the Takaful Plan was issued are materially altered without the written consent of Sukoon Takaful, the Takaful Plan may be considered null and void.
(iii)   Please ensure that you are at all times in compliance to the Plan terms and conditions, which at all times shall supersede and prevail.
(iv)   Please ensure that you are completely aware of all risk factors including those of your invested/other investment funds/options etc. as detailed under Your Plan. Please also read through the associated fund prospectus before deciding any investment options/funds. Sukoon Takaful shall in no event be responsible for any decision taken by You to invest/not to invest in any particular fund/portfolio.
(v)    For Unit linked takaful plans, all investments are subject to various investment and market risks, including possible loss of all contribution paid/principal amount. There is no guarantee that any particular asset allocation or mix of funds will meet any investment objectives or provide any income. Diversification does not ensure a profit or protect against a loss. You are hereby cautioned and advised to read,  understand and be in agreement to your chosen fund's detailed prospectus document including its investment philosophy, the underlying risks, applicable expense and fees before investing into any fund. The performance data presented for the funds and any model portfolios available to You through the Facility only represent past performance, which is neither a guarantee nor an indicator of future results. Investment returns and principal value will fluctuate so that the invested or paid contribution contributions, when sold, may be worth more or less than their original total contribution contributions. Current performance may be lower, in line with or higher than the performance data cited in the Facility.
(vi)   Under no circumstances should You make investment decisions based solely on the information discussed or shown through the Online Services. You should not construe any details/performance reports/ information discussed herein to constitute investment advice. Such details are only informational in nature.
(vii)  You should consult a qualified broker/agent or Your financial advisor prior to making any actual investment decisions. You agree to not make investment decisions based on any data, reports, comments on the Facility, nor on any techniques presented nor discussed in this Facility or any other form of information presentation. All information is for educational and informational use only. Hypothetical or simulated performance results also have certain inherent limitations. Unlike an actual performance record, simulated results do not represent actual investments. No representation is being made that any investment will or is likely to achieve profits or losses similar to those shown through the Online Services.
(viii) You, assume the entire cost and risk of any investment you choose to undertake. You are solely responsible for making your own investment decisions. If you choose to engage in such transactions with or without seeking advice from a qualified financial advisor or entity, then such decision and any consequences flowing therefrom are your sole responsibility. The information and commentaries are not meant to be an endorsement or offering of any investment. They are meant to be a guide only, which must be tempered by Your investment experience and independent decision making process. The data, reports, materials and information in, and provided by, this Facility are not, and should not be construed as an offer to buy or sell any fund/ investment/ portfolio/ Takaful Plan. Any data/ report/ information is NOT a recommendation and neither any solicitation to buy or sell any fund/portfolio/ takaful investment options
(ix)   Sukoon Takaful cautions the investors to use the information on the Facility as a resource only to further Your own research on respective funds/portfolio/investment-takaful options. 
2.13                You hereby acknowledge that Sukoon Takaful is required to comply with relevant provisions of sanctions and the anti-money laundering and anti-terrorist financing laws of United Arab Emirates (UAE) including those issued by  UAE Central Bank pertaining to Anti Money Laundering and Combating Financing of Terrorism, as well as all related laws and instructions issued by the UAE Central Bank from time to time and You agree to provide all relevant details/records to Sukoon Takaful promptly upon Sukoon Takaful request.
2.14                Any Transactions initiated by You shall be deemed to be that of and initiated by You and Sukoon Takaful is not responsible for any misuse of the Facility or the Services. It is Your responsibility to ensure that no unauthorised person has access to its computer unattended whilst accessing the Facility. If third parties gain access to the Facility or any of the Services offered as part of the Facility through your computer, You shall be deemed to be responsible and You hereby agree to fully indemnify and hold harmless Sukoon Takaful against any liability, costs or damages arising out of claims or suits by or against such third parties based upon or relating to such access and misuse. Under no circumstances shall Sukoon Takaful or anyone involved in creating, producing, delivering or managing the Facility be liable for any direct, indirect, incidental, special or consequential damages that result from the use of the Facility including any of the Services.
2.15                The receipt of the filled up Transaction request/form and payment of any amount/ contribution by Sukoon Takaful does not create any obligation upon Sukoon Takaful to underwrite the risk. Sukoon Takaful will not be liable until it has underwritten the risk and specifically issued the Plan/verified and completed the Transaction. Sukoon Takaful retains the right to decline, reject, suspend, put on hold, request more clarification/information on any proposal/Transaction submitted through the Facility You understand that the quoted amounts may increase or decrease and  terms and conditions may be amended/supplemented basis the underwriting risk assessment done by Sukoon Takaful. The availability of any information, advice and guidance, if any, on the website, does not constitute a recommendation or representation by Sukoon Takaful for buying any plan. Any decision to purchase a plan will and should be based solely on Your own evaluation of Your requirements and the terms, conditions and exclusions of the Plan offered by Sukoon Takaful. Any submission/intimation of claim form does not constitute acceptance of liability by Sukoon Takaful.
2.16                In the event of any conflict in the contribution amount (whether displayed or paid) through the Facility and the actual contribution amount required by Sukoon Takaful for issuance or renewal of Your Takaful Plan, the actual contribution amount as required by Sukoon Takaful for issuance or renewal of Your Takaful Plan shall at all times supersede and prevail. For avoidance of doubt, You clearly understand that contribution payment through the Facility does not mean or imply issuance of applied Takaful Plan. You also understand and agree that Sukoon Takaful will not be under any obligation or liability till such times the required contribution amount has been received by Sukoon Takaful in full and based on Sukoon Takaful underwriting criteria and decision the Takaful Plan has actually been issued by Sukoon Takaful. Sukoon Takaful is further not liable for any delayed Transaction or non delivery or non issuance of the applied Takaful Plan for any reason whatsoever.
2.17                By using a credit or debit card to pay any amount/fees through the Facility, You confirm that the card being used is Yours and has been legitimately obtained from either a licensed bank or any other financial institution duly licensed to issue such cards. In the event of any decline of payment authorisation by your credit card issuer, Sukoon Takaful shall not be under any obligation to inform You of the reason for the refusal and Sukoon Takaful may  decline that Transaction.
2.18                Unless otherwise mentioned, all amount/fees displayed on the Facility are in UAE Dirham. Sukoon Takaful shall not be responsible for your card issuer or bank charging You as a result of processing of your credit card payment through the Facility including any currency conversion fees.
2.19                You understand that your Transaction will only be completed when Sukoon Takaful acknowledges and separately confirms to You that the specific Transaction has been successfully concluded. If in doubt, You are advised to call our toll free number to obtain updates/confirmations.
2.20                You further agree and fully authorize:

i.       Sukoon Takaful to use any of its approved verification agencies to make references/inquiries about or related to You from any source of information, or any person or entity nominated herein;

ii.      all financial institutions, bank, debt collection agencies, credit bureaus or any other person or entity to disclose and provide Sukoon Takaful with any information requested about or related to You as in its possession;

iii.     any of Your past/present employer/business associates, any person, institution, medical practitioner(s)/hospitals/laboratories/medical providers, takaful companies, financial institutions to release to Sukoon Takaful all details, records, facts and information (including claim history/details, KYC records, AML-CTF & FATCA details) as required anytime by Sukoon Takaful for any reasons whatsoever including for assessment, underwriting of risk and/or for processing of claims.

iv.     Sukoon Takaful , at any time and at its absolute discretion, to use and/or disclose the particulars and information provided in the Takaful Plan or the application or any information relating to Your liabilities towards Sukoon Takaful, or any other financial information including any breach of obligations or defaults (including in contribution payment or repayment) or any other financial information to any other entity, organization, financial institutions or banks, debt collection agencies or credit bureaus;

v.      Sukoon Takaful and its associate partners to contact You anytime (including electronically through email, sms or telephone) for seeking any additional information and/or for providing any additional information whether related to the Takaful Plan and/or informing about any other Sukoon Takaful products or promotions;

vi.     Sukoon Takaful to use and/or transfer any of Your personal data/Personal Information to its service providers/third parties as may be required by Sukoon Takaful to perform its obligations.

2.21                For any requests or issues related to any amounts/fees paid through the Facility, You should contact Sukoon Takaful in person with at least the below information:

o   Takaful Plan number, date of Transaction and the amount of contribution paid through the Facility;

o   Your detailed contact information and proof of relationship with Covered Member (if different);

o   Proof of contribution payment through the Facility eg. Your credit card statement;

o   Explanation of reason for for issues/concerns;

o   Any relevant supporting documents

 

2.22                Notwithstanding the above, You hereby acknowledge that contribution refunds are subject to the detailed terms and conditions of respective Takaful Plan, which You hereby re-confirm to have completely read, understood and agreed upon prior to paying any contribution through this Facility. You hereby acknowledge that if at all the Plan terms allow any contribution refund then it may take up to 30 business days post receiving your contribution refund request for Sukoon Takaful to process the request and/or further communicate with You.
2.23                You hereby declare and accept that Sukoon Takaful is under no obligation and assume no responsibility for defamatory, libelous, slanderous, falsehood, obscene, pornographic, profane or any dangerous content posted on or through the Facility by You or any other person/third Party. You hereby understand and undertake not to post or transmit any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, profane or hate material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law. You hereby understand that Sukoon Takaful will fully cooperate with any law enforcement authorities or court order requesting or directing Sukoon Takaful to disclose the identity of anyone posting any such information or materials.
2.24                Any quotation displayed through the Facility is valid for that time period once it is generated and may only be used during this period to complete the transaction of purchase of a Plan. You agree that You shall be the sole and exclusive user of any quotation generated on Your behalf using Your personal information and You accept sole responsibility for use, confidentiality and protection of the same. Sukoon Takaful will be required to share the quotation details generated by You to third party service providers for processing the Transactions including for initiating contribution payments. Please note that quotation should not be revealed to any third party/person. Sukoon Takaful would be entitled at its sole discretion to seek offline written or other confirmation from You regarding any Transaction carried out through the Facility. Under no circumstances Sukoon Takaful or anyone involved in creating, producing, delivering or managing the Facility therein, shall be liable to You for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the Services which are provided on the Facility or out of any breach of any warranty.
2.25                You hereby further agree to pay to Sukoon Takaful any fees/amounts for use of Facility if and as and when applied by Sukoon Takaful from time to time.
2.26                Any third party links or pointers to external websites maintained by others are "third party sites" and are meant for convenience only. Sukoon Takaful has no control over such sites and resources and is not responsible for the availability of such external sites or resources and does not endorse and assumes no responsibility or liability for any content, advertising, products or materials on or available from such sites or resources. Sukoon Takaful assumes no responsibility or liability, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such site or resource. In no event will Sukoon Takaful be liable to any party for any direct, indirect, special or other consequential damages for any use of this website, or any other hyperlinked website, including, without limitation, any lost profits, business interruption, lost of programs or other data on your information handling system or otherwise, even if we are expressly advised of the possibility of such   damages. If you find anything inappropriate on any third party site, please inform us immediately.

3                     Electronic Communications

3.1                  The Online Services are an electronic, internet-based service. There are risks associated with utilizing internet and short messaging system (sms) based services, which you are hereby advised and cautioned
3.2                  All communications in either electronic or paper format will be considered to be "in writing". You must print a paper copy of any important electronic communication and retain the copy for their records.
3.3                  You agree to promptly update your registration records, including if Your e-mail address, mobile number or other information changes.
3.4                  Communications may be posted on the pages of the Online Service, Sukoon Takaful website and/or delivered to the e-mail address provided by You. Any electronic Communication (including sms/e-mails) will be deemed to have been received by You when Sukoon Takaful sends it to the You  irrespective of whether You receive the e-mail/sms or not. If the communication is posted on the Online Service, then it will be deemed to have been received by You no later than two (2) Business Days after Sukoon Takaful posts the communication on the pages of the Online Service, whether or not You separately retrieves the communication. An electronic communication by e-mail is considered to be sent at the time that Sukoon Takaful e-mail server to the appropriate e-mail address directs it. An electronic communication made by posting on the pages of the Online Service is considered to be sent at the time it is publicly available. You agrees that these are reasonable procedures for sending and receiving electronic communications.
3.5                  In order to access and retain communications, You must maintain a valid  e-mail account and e-mail software capable of reading Sukoon Takaful e-mails.
3.6                  As part of Services, You hereby give your unconditional consent to Sukoon Takaful and/or its service providers to contact You and to send to You sms notifications (including for marketing/promotional notifications) on your mobile/landline telephone/emails. You agree to receive any number of such notifications at any time and during any time within the day or night.
3.7                  Sukoon Takaful shall not be responsible for any network failure by the network provider or any transmission error of any failure of such notification not being received by You
3.8                  You understand and acknowledge that fees for receiving such notifications will be completely borne by You which may include mobile roaming fees and/or other additional fees if any charged by a non-UAE service operator.
3.9                  You hereby agree to fully indemnify Sukoon Takaful; and its service providers against any and all actions,  proceedings, liability , costs, fees , losses or damages (including legal costs)  it may suffer in connection with the provisions of electronic notification or as a result of any transaction over the GSM network in connection with such electronic notifications
3.10                You must immediately notify Sukoon Takaful of any loss or theft/hacking of Your mobile/email account and You shall from the time of notification stop providing such notification to that mobile telephone/email account.
3.11                Sukoon Takaful will not in any way be responsible or liable for any loss, damage or other consequence arising from: 
- non-delivery of any notification for any reason including as a result of Your mobile telephone being switched off, lost, or stolen; or 
- delivery of an electronic notification to a party other than You if the mobile telephone or SIM card is not in Your possession or control for any reason whatsoever (whether with or without Your consent ), or 
- delivery of a message to another mobile telephone due to the act or omission or error of Sukoon Takaful, its employees, officers or agents or any third party (including without limitation any service provider), or the use and provision of the electronic notifications service in any way
3.12                Sukoon Takaful accepts no liability for any loss or damage arising directly or indirectly from actions taken or not taken by You or any third party in reliance on material or information contained in a message sent to You electronically
3.13                You acknowledge that any fund value/balance given to You electronically through the use of electronic notification shall not for any purpose whatsoever be taken as a conclusive statement of Your balance and if need be You must reverify the same with Sukoon Takaful branch
 

4                     User ID and Password

4.1                  The User confirms and agrees that User will be the sole and exclusive owner and is the only authorized user of his User ID and the User Password and accepts sole responsibility for use, confidentiality and protection of the User ID and the User Password as well as for all Transactions initiated through his User ID and shall ensure that the User Password/s is/are not revealed to any third party or recorded in any written or electronic form. Customer undertakes not to disclose the Password to any person including employees of Sukoon Takaful.
4.2                  Any Transactions authorised by using the User ID and User Password shall be deemed to be that of and initiated by the User with full authority of the represented corporate entity and the Customer and Sukoon Takaful is not responsible for any misuse of the Facility or the Services. If third parties gain access to the Facility or any of the Services offered as part of the Facility through the use of the User ID and User Password, the User shall be deemed to be responsible and the User hereby indemnifies and holds harmless Sukoon Takaful against any liability, costs or damages arising out of claims or suits by or against such third parties based upon or relating to such access and misuse.
4.3                  It is the User's responsibility to ensure that no unauthorised person has access to its computer unattended whilst accessing the Facility.
4.4                  The User shall immediately notify Sukoon Takaful in writing on the User becoming aware of any loss, theft or unauthorised use of the User ID and/or User Password; or any receipt by the User of confirmation of any Transaction which the User did not initiate or authorise; or any inaccurate information entered or having become aware in relation to any issued Plan. If the User fails to notify Sukoon Takaful immediately upon the User knowledge when any of the above conditions occur, neither Sukoon Takaful nor any of their officers, directors, employees, Advisors, Affiliates or subsidiaries can or will have any responsibility or liability to the User or to any other person whose claim may arise through the Customer or the User with respect to any of the circumstances described above.
4.5                  Under no circumstances shall Sukoon Takaful or anyone involved in creating, producing, delivering or managing the Facility be liable for any direct, indirect, incidental, special or consequential damages that result from the use of the Facility including any of the Services.

5                     Evidence Of Account Transactions

5.1                  Sukoon Takaful own records of the Transactions maintained through its own/its service provider's computer systems or otherwise shall be accepted as conclusive and binding for all purposes. More particularly, the record of Sukoon Takaful generated by the Transactions, including the recording of the time of the Transactions shall be conclusive proof of the genuineness and accuracy of the Transactions.

6                     Restrictions on Use

6.1                  You agree not to use this Facility or the Facility for any illegal purpose or in any manner inconsistent with the Agreement or UAE laws. You agree not to use, transfer, distribute or dispose of any information contained in the Facility in any manner that could compete or conflict with the business interest of Sukoon Takaful or otherwise compromise or imperil the interests of Sukoon Takaful. You acknowledge that the Facility has been developed, compiled, prepared, revised, selected and arranged by Sukoon Takaful and/or its service provider through the application of methods and standards of judgement developed and applied through the expenditure of substantial time, effort and money and constitutes valuable intellectual property of Sukoon Takaful and/or its  service provider's and may also include trade secrets of Sukoon Takaful/its service provider's and such others. You agree to protect at all times the proprietary rights of Sukoon Takaful/its service provider's and all others having rights in the Facility at all times and to comply with all reasonable written requests made by Sukoon Takaful or its suppliers of content, equipment or otherwise ("Suppliers") to protect their and others' contractual, statutory and common law rights in the Facility.
6.2                  You agree to notify Sukoon Takaful in writing promptly upon becoming aware of any unauthorized access or use of the Facility by any party or of any claim that the Facility infringes upon any copyright, trademark or other contractual, statutory or common law rights.
6.3                  You shall not:

(a)    Reverse engineer, decompile, disassemble, copy, reproduce, distribute, modify, transmit, perform, publish or create derivative works from or in any way exploit any of the Facility / Facility in violation of the Agreement or the laws of UAE.

(b)   Create a database in electronic or structured manual form by systematically downloading and storing the entire Facility or part thereof save and except such information as relates or concerns You.

(c)    Rent, lease, sell, sublicense, or lend Your access to the Facility and to the Facility.

(d)   Cache or permit caching by any person.

(e)    Do any act that violates Sukoon Takaful or its service provider's intellectual property rights in the Facility or the Facility.

(f)     Engage in any fraudulent, abusive or illegal activity, including but not limited to any communication or solicitation designed or intended to fraudulently obtain the Password or any private information of any use.

(g)    Use the Facility or the Facility to violate the security of any computer or computer network, crack Passwords or security encryption codes, transfer or store illegal material including threatening or obscene material or engage in any kind of illegal activity.

(h)    Run mail list or any form of auto-responder, or spam on Facility or any processes that are run or are activated while You are not logged on or engage in any virus attack or denial of service attach or engage in any activity designed and/or intended to interfere with the working of Facility/Facility for any duration of time.


7                     Disclaimer of warranties

7.1                  You irrevocably and unconditionally accepts that any Transaction and/or instruction made or given through the Online Services will be entirely at Your own risk and responsibility. Sukoon Takaful record of any Transaction or instruction processed in connection with Online Services will be binding and conclusive evidence of such Transaction or instruction for all purposes.
7.2                  You agree that all security procedures used and implemented by Sukoon Takaful are reasonable and adequate. You shall safeguard and ensure that the security procedures are kept secret at all times and shall diligently safeguard from disclosure and/or use by any other person(s), the User ID, or any other authentication methods/devices, not to be disclosed to any third parties or unauthorized personnel. You are hereby advised:

(a)    to remember the User ID and Password and destroy any notification as soon as You receive it;

(b)   not to write down or record your User ID or Password;

(c)    You may not have access to the Facility 24 hours/7 days; there will be some planned and/or unexpected shutdowns during operating and non-operating hours. You acknowledge that such shutdowns may result in either partial or no access to the Online Services. Sukoon Takaful reserves the right to record in its information systems all data concerning any communication or action relating to any Transactions. Sukoon Takaful will use reasonable endeavours to execute Transactions/instructions as soon as these are received from You and accepted by Sukoon Takaful information systems but does not guarantee any indicated turnaround time. The date and content of each Transaction/instruction will be verified by any means available to Sukoon Takaful

7.3                  You specifically agree that any misuse or negligence caused by You under this Agreement will entitle Sukoon Takaful to take suitable action against You and others engaged in such acts under civil, criminal and/or common law for damages and/or punishment. You agree to indemnify and keep Sukoon Takaful indemnified at all times from all losses, damages, costs, expenses, loss of profits, loss of business, proceedings, actions, suits (including legal fees) caused to or suffered by Sukoon Takaful as a direct or indirect consequence of Your actions, including due to breach of this Agreement, error, negligence or default.
7.4                  Sukoon Takaful shall not be responsible or liable for the authenticity, accuracy, completeness, errors, omission, typographic errors, disruption, delay, interruption, failure, deletion, defect of any information, research, reports, analysis, quotes etc in this Facility or any part thereof.
7.5                  Sukoon Takaful shall not incur any liability direct or indirect, to You or any third party, as a consequence of non-functioning of any equipment belonging to You, any third party or us. We shall not be responsible for any downtime of such equipment.
7.6                  Sukoon Takaful does not warrant or guarantee that access to the Facility and the Facility will be uninterrupted, timely, secure, or error free; nor does Sukoon Takaful make any warranty or guarantee as to the results that may be obtained from the Facility or use of the Facility or as to the accuracy or reliability of the Facility.
7.7                  Sukoon Takaful shall not be liable for any action taken by You based on or relying on the information provided in or by the Facility.
7.8                  Sukoon Takaful will not be liable for any virus that may enter Your system as a result of You using the Facility. Sukoon Takaful makes no warranty to You or third parties that the Facility will be virus free. Sukoon Takaful will not be liable for any direct, incidental or consequential loss, which may be caused to You as a result of Your use of the Facility / Facility.
7.9                  If You are dissatisfied with the Facility or any portion thereof, the Facility or with any of the Agreement  terms and conditions, Your sole and exclusive remedy is to discontinue using this Facility
7.10                Sukoon Takaful reserves the right to store information on a user's computer in the form of a "cookie" or similar file for purposes of modifying the Facility to reflect users' preferences.
7.11                If any Transaction could not be completed, Sukoon Takaful and/or its service provider, upon learning that such transfer or payment has failed, will make reasonable efforts to complete the transaction. Sukoon Takaful does not guarantee good and timely execution of Transactions and will not be liable for any direct, indirect, incidental, special or consequential damages for failure to complete any Transaction under the Online Services, which was not intentional and resulted from a bona fide error, notwithstanding the Bank's procedures to avoid such error, for instance:
7.12                Sukoon Takaful shall not be obligated to inform You of a failure to effect any payment or execute any Transaction. Sukoon Takaful may at any time request from You a written confirmation of submitted Transactions. You declare that none of its Transactions shall contribute to the laundering of criminal proceeds and You assumes responsibility for the authenticity and lawfulness of your Transactions.
 

8                     Indemnification

8.1                  The Online Services are provided entirely at Your risk and You agree to indemnify, defend and hold harmless Sukoon Takaful, its service providers, affiliates, partners, officers, directors, employees, consultants and agents from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorney's fees) arising from Your use of the Online Services and Sukoon Takaful reliance on the information, Transaction, instruction, license and/or authorization provided by You under or pursuant to these terms and conditions Agreement, Your violation of the terms and conditions of this Agreement or Your infringement, or infringement by any other user of Your User ID, of any Intellectual Property or other right of any person or entity, usage of the Services, Sukoon Takaful acting on the Transaction/instructions, any damage to Your system or any third party and/ or Your misuse/improper use / access of the Online Services and User Id as granted by Sukoon Takaful, for failure to provide any or all of the facilities available under the Online Services including any technical malfunction/breakdown. Sukoon Takaful does not guarantee the accuracy, completeness and timeliness of information set out or included on the Online Services and any information set out or included through the Online Service is subject to amendment, variation and change from time to time.

9                     Limitation of liability

9.1                  Under no circumstances, including but not limited to negligence, shall Sukoon Takaful, its employees and directors, its suppliers and its third party advisors be liable to You for any direct, indirect, incidental, special or consequential damages or any damages whatsoever including punitive or exemplary (including, but not limited to, damages caused by any virus, personal injury, loss of profits, data or other intangible, business interruption, loss of privacy, or any other pecuniary loss), arising out of or in any way connected with the use/delivery/performance of this Facility, with the delay or inability to use this Facility or any links or items on the Facility, the provision of or failure to provide Services, or for the content obtained through this Facility, or otherwise arising out of the use of this Facility, whether based on contract, tort, strict liability or otherwise, or for cost of procurement of substitute goods and repair and correction services or resulting from the use of this Facility or obtained or messages received or transactions entered into through or from the Facility or resulting from unauthorized access to or alteration of Your transmissions or data, even if Sukoon Takaful has been advised of the possibility of such damages.
9.2                  You agree that Sukoon Takaful shall not be liable for any damages arising from interruption, suspension or termination of the Facility, including but not limited to direct, indirect, incidental, special, consequential or exemplary damages, whether such interruption, suspension or termination was justified or not, negligent or intentional, inadvertent or advertent.
9.3                  You agree that the Online Services are provided exclusively for Your benefit. Sukoon Takaful shall not be held liable in any manner or form, for providing the Online Services, including but not limited to, any of the following:

(a)    if You are unable to access and/or utilize the Online Services due to any reason including any technical, communication or network malfunction or breakdown;

(b)   for any loss or damage that may arise or be incurred directly or indirectly by reason of Sukoon Takaful carrying out any Transactions or instructions or from any malfunction or failure of the Online Services;

(c)    for any change, alteration, additions or deletions to these Terms and Conditions Agreement, the Online Services, the systems of operation of the Online Services or the cut-off times;

(d)   for any partial, incomplete, late or failed transfer, remittances to any payee/beneficiary/third party nominated under the Online Services due to any reasons beyond Sukoon Takaful control.
 

10                   Intellectual Property and Sukoon Takaful Technology

10.1                All Intellectual Property, Sukoon Takaful Technology materials, documents and other computer software and hardware belonging to Sukoon Takaful and/or relating to business conducted under this Agreement and in Your possession shall at all reasonable times be available to Sukoon Takaful and its duly authorised representatives for inspection and audit.
10.2                If this Agreement is terminated or notice of termination is given, such Intellectual Property, Sukoon Takaful Technology, materials, documents and computer software and hardware belonging to Sukoon Takaful and in Your possession must be delivered by You to Sukoon Takaful  within thirty (30) days from the day on which the Agreement is terminated.
10.3                Sukoon Takaful hereby grants to You a non-exclusive, personal, royalty free non-transferable, non-assignable right to use within United Arab Emirates such of Sukoon Takaful Intellectual Property and Sukoon Takaful Technology as may be provided by Sukoon Takaful to You for the purposes of this Agreement (the Sukoon Takaful Deliverables). Notwithstanding the rights granted to You under this Agreement, Sukoon Takaful shall retain all ownership rights, title and interest (including, without limitations, all worldwide intellectual property rights) in Sukoon Takaful Deliverables, provided further that You covenants and agrees not to use Sukoon Takaful Deliverables otherwise that in connection with and in furtherance of the performance of its obligations under this Agreement.
10.4                You further covenants and agrees that You will take adequate care of Sukoon Takaful Technology at all times and will ensure adequate care and accuracy of data being entered into and/or referred from Sukoon Takaful technology and/or Sukoon Takaful Intellectual Property
10.5                You should assume that everything You see or read or hear or experience on the Facility (including but not limited to directories, guides, news articles, opinions, reviews, text, photographs, images, illustrations, profiles, audio clips, video clips, trademarks, service marks and the like, (collectively " the Content") is copyrighted / protected by intellectual property rights laws unless otherwise mentioned and may not be used except as provided in this Agreement.
10.6                Subject to the foregoing provisions, You shall not use or make use of any of Sukoon Takaful and/or its service provider's Intellectual Property, name, trademarks, service marks or logos without first obtaining the written consent and approval of Sukoon Takaful.

11                   Confidentiality

11.1                The Receiving Party shall not at any time without the prior written consent of the Disclosing Party:
(a)         Utilise, copy employ or use in any manner any of the Confidential Information otherwise than in furtherance of its obligations under this Agreement;
(b)         Disclose any of the Confidential Information to any third party, other than to any of the Receiving Party's Representatives who are reasonably required in the course of their duties to receive and acquire the same and who are made aware of the confidentiality provisions contained in this Agreement. The Receiving Party shall be primarily liable for any breach of these provisions by any of its Representatives; and
(c)         Make any copies of the Confidential Information or reproduce it in any form except for the purpose of utilising the same for furtherance of obligations under this Agreement and/or supplying the same to those whom disclosure is permitted in accordance with this Agreement.
11.2                The Receiving Party shall take every reasonable precaution to maintain the confidentiality of Confidential Information.
11.3                A Party may disclose Confidential Information to the extent required by law, by any governmental or other regulatory authority, or by a court or other authority of competent jurisdiction provided that, to the extent it is legally permitted to do so, it gives the other Party as much notice of such disclosure as possible.

12                   Term

12.1                The term of this Agreement shall be one (1) year from the Effective Date (the 'Term') and shall renew automatically on the date of its anniversary, unless terminated in accordance with the Termination clause. If Takaful Plan has been issued pursuant to a Transaction initiated through this Facility, then the term of this Agreement shall be valid upto the term of the respective Takaful Plan as issued to the Customer. 

13                   Termination

13.1                Sukoon Takaful reserves the right, in its sole discretion, to terminate the User's use of the Facility and/or any of the Services with immediate effect without giving any prior notice to the User.
13.2                Should You choose to terminate this Agreement, You should then immediate contact Sukoon Takaful in writing and request for disabling/deleting your User ID. However You shall continue to be responsible for all Transactions made using the Facility until Your access is deleted from the Facility
13.3                Without limiting any other right or remedy that Sukoon Takaful may have under these terms and conditions Agreement or otherwise, should a need be, Sukoon Takaful reserves the right to suspend Your right to use the Online Services, immediately and without prior notice to You. In the event of any such temporary suspension, the Customer may request reinstatement of the facilities by contacting Sukoon Takaful. Sukoon Takaful reserves the right in its sole discretion to grant or deny Your reinstatement to use any of the facilities or the Online Services

14                   Waiver

14.1                No failure or delay on the part of Sukoon Takaful to exercise any power, right or remedy under this Agreement shall operate as a waiver thereof, nor shall any partial exercise by Sukoon Takaful of any power, right or remedy prevent any other alternative exercise thereof or the exercise of any other power, right or remedy. The remedies provided in this Agreement are cumulative and are not exclusive of any remedies provided by law.

 

15                   Relationship between the Parties

15.1                Nothing herein shall be deemed or construed by the Parties hereto nor by any third Party as creating a partnership, an agency relationship or of joint venture between the Parties or any of their respective agents hereto.  For the avoidance of doubt, neither Party has power nor does authority under this Agreement to bind the other Party nor make promises or representations in any circumstance whatsoever on behalf of the other Party.

 

16                   Severability

16.1                Each of the provisions of this Agreement are severable from the others and if at any time one or more of such provisions is or becomes illegal, invalid or unenforceable, the validity, legality and enforceability of the remaining provisions of this Agreement shall not in any way be affected or impaired.

17                   Changes to the Terms

17.1                Sukoon Takaful reserves the right to make changes to this Agreement from time to time, to address changes including as required by the law or regulatory changes or as required due to changes to functionality offered through the Facility or for any other reasons at sole discretion of Sukoon Takaful. Your continued use of the Facility after the date the changes are advised to You will constitute your acceptance to such modified terms.

18                   Governing Law

18.1                This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates. Each of the Parties will submit to the exclusive jurisdiction of the courts of United Arab Emirates

 

The User confirms having read, understood and accepted the above terms and conditions in acknowledgement of which he/she has submitted this agreement to Sukoon Takaful by clicking the 'Accept' button and/or proceeding to conduct Transaction through the Facility.

الخدمات الإلكترونية - اتفاقية الشروط والأحكام

يرجى قراءة اتفاقية الشروط والأحكام هذه ("الاتفاقية") وفهمها والموافقة عليها(كما هو مُحدد أدناه) قبل استخدام أي من الخدمات الإلكترونية المُقدَّمة بموجبها. تعد هذه الاتفاقيةعقد ملزم قانونًا بينك وبينا. سكون تكافل ش م ع، (المشار إليها فيما يلي بـ "سكون تكافل") .يُحدد الشروط والأحكام التي بموجبها يجوز استخدام الخدمات الإلكترونية. هذا التسهيل معروض لك رهنًا بقبولك هذه الاتفاقية دون تعديل أو تحفظ أو مؤهلات أو بصدد أي من الشروط والأحكام والإخطارات الواردة هنا قبل استخدام هذا التسهيل و/أو الوصول إليه و/أو تصفُّحه. يُشير استخدام التسهيل إلى أنكقد قرأت هذه الشروط والأحكام وفهمتها ووافقت عليهابالكامل.تُضاف هذه الشروط والأحكام إلى الشروط والأحكام السارية عليك بموجب شروط وأحكام البرنامج الخاص بك و/أو أي اتفاقية أخرى في حال إبرامها بينك وبين سكون تكافل، وفي حال وجود خلاف بين أي من شروط وأحكام هذه الاتفاقية وأي اتفاقية أخرى، فلا يُعتد إلا بشروط وأحكام هذه الاتفاقية.

إذا (أ) لم تكن العميل أو لا تملك السلطة القانونية لإلزام العميل أو للتصرف بالنيابة عنه أو (ب) في حال عدم الموافقة على أي شروط وأحكام وردت في هذه الاتفاقية يرجى عدم المواصلة و"رفض" هذه الشروط والأحكام فورًا.

الآن وبناءً على ما تقدم ونظير المقابل المناسب والمُجدي الذي تم الإقرار بكفايته بموجب هذه الاتفاقية،

وافق الطرفان على ما يلي:

 

1-     التعريفات

1-1     التعريفات:

تحمل الكلمات والتعبيرات التالية في هذه الاتفاقية المعاني المبينة قرين كل منها ما لم يُشير النص إلى خلاف ذلك:

العميل يعني أي شخص طبيعي أو اعتباري داخل دولة الإمارات العربية المتحدة يستفسر عن خطة تكافل أو يتقدم بطلبه أو صدر له خطة و/أو يرغب في إدارة معاملةً ما من خلال التسهيل.

المعلومات السرية تعني جميع المعلومات السرية (كيفما جرى تسجيلها أو حفظها أو الإفصاح عنها) التي أفصحت عنها سكون تكافل أو ممثلها إليك فيما يتصل بهذه الاتفاقية في أي وقت، بما في ذلك:

(‌أ)    استراتيجيات الأعمال، وترتيبات الأعمال، وعمليات الحاسب الآلي والشبكة، وبنية الوظائف والنظم،

(‌ب)   أي معلومات فنية أو مالية أو تجارية،

(‌ج)   أي معلومات قد يعتبرها أي شخص معني سرية،

لكن لا تشمل أي معلومات قد:

(أ‌)    تكون أو تصبح متوفرةً للعامة في المجمل بخلاف ما يكون ناتجًا عن الإفصاح عنها من قِبَل الطرف المُتلقِّي أو ممثليه إخلالًا بهذه الاتفاقية أو بأي تعهد آخر بالسرية مُوجَّه إلى الطرف الذي تتعلق به المعلومات (باستثناء أن أي مجموعة من المعلومات العامة في أي شكل غير معروف للعامة تُعامل على أنها معلومات سرية)،

(ب‌)   وافق الطرفان خطيًّا على أنها ليست معلومات سرية أو يجوز الإفصاح عنها،

(‌ج)   كانت متوفرة للطرف المُتلقِّي على أساس غير سري قبل الإفصاح من قِبَل الطرف المُفصِح.

الطرف المُفصِح يعني أي طرف في هذه الاتفاقية يُفصح عن المعلومات السرية للطرف الآخر بطريق مباشر أو غير مباشر.

التسهيل يعني الحصول على واستخدام تقنية سكون تكافل التي تمكنك من إدارة مختلف المعاملات، بما في ذلك دون حصر الاطلاع على بيانات العملاء والمعلومات الجوهرية وقراءتها والوصول إليها، والاستفسار عن منتجات سكون تكافل، وإتمام نماذج المعاملة وتقديمها، ودفع المساهمات، وطباعة خطة تكافل، واستثمار/استرداد/تبديل الأموال، ومراجعة تفاصيل الأموال، وما إلى غير ذلك.

الملكية الفكرية تعني جميع الفوائد القانونية و/أو العادلة العاجلة والآجلة في حقوق التأليف والنشر أو حقوق قاعدة البيانات أو المعلومات السرية أو القرطاسية أو الأختام أو الشعارات أو العلامات التجارية أو براءات الاختراع أو التصاميم أو حقوق الملكية الفكرية.

تقنية سكون تكافل تعني التقنية الخاصة بسكون تكافل، بما في ذلك على سبيل المثال لا حصر برمجيات الحاسب الآلي وأجهزته، والوصول الإلكتروني إلى المواقع الإلكترونية و/أو صفحات الويب و/أو تسهيل الدردشة على الويب و/أو برمجيات و/أو اجهزة الحاسب الآلي، والبرامج، وبنوك البيانات، والبرامج التكميلية، ومعايير اختيار المخاطر الإلكترونية، إرشادات وأدلة الاكتتاب والتصنيف المُقدَّمة و/أو التي وصل إليها المستخدم لتمكينه من أداء التزاماته كما هو متفق عليه بموجب هذه الاتفاقية و/أو غيرها من الاتفاقيات بين الطرفين.

الخدمة الإلكترونية تعني أي من الوظائف والنماذج الخاصة بالتسهيل المقدم لك.

كلمة المرور أو كلمة مرور المستخدم تعني الرمز السري الذي حدَّده كل مستخدم واحتفظ به؛ بحيث يسمح للمستخدم مع هويته بالوصول إلى التسهيل.

المعلومات الشخصية تعني أي من المعلومات التي قدمها المستخدم و/أو العميل لسكون تكافل خلال المعاملة وتشمل تلك المُقدَّمة في شكل مقترح وحسبما يجري تحديثها من حينٍ لآخر.

الخطة تعني الخطة الخاص بتكافل الصادرة أو المُقرر إصدارها من جانب سكون تكافل أو بالنيابة عنها إلى أي عميل بالتوافق مع معايير الاكتتاب الخاصة بسكون تكافل.

نموذج المعاملة يُشير إلى التفاصيل المُدرجة والمُقدَّمة من خلال التسهيل لاعتبارات الاكتتاب في سكون تكافل مع أي من البيانات/المعلومات الأخرى كما هي مُقدَّمة إلى سكون تكافل سواء شفهيًّا أو خطيًّا (سواء من خلال التسهيل أم لا). تكون التفاصيل المُقدَّمة من خلال نموذج المعاملة على أساس الإصدار/التعديل لأي من خطط تكافل المُقررة/الصادرة من قِبَل سكون تكافل إلى العميل.

المنتجات تعني منتجات تكافل التي تعرضها سكون تكافل من خلال هذا التسهيل.

الطرف المُتلقِّي يعني أي طرف في هذه الاتفاقية يتلقَّى معلومات سرية من أي طرف مُفصِح بطريق مباشر أو غير مباشر.

الخدمة تعني أي من الوظائف والنماذج الخاصة بالتسهيل المقدم للمستخدم.

المعاملة تعني أي معاملة/استفسار بادر به (سواء جرى إبرامه أم لا) المستخدم من خلال التسهيل، بما في ذلك دون حصر الاستفسار و/أو إصدار أي عروض أسعار و/أو التقدم بطلب خطة تكافل من خلال التسهيل و/أو تبديل و/أو استثمار و/أو استرداد أي مبلغ و/أو مراجعة أداء المبالغ و/أو إصدار تقارير مختلفة و/أو بيانات و/أو أي تعليمات أخرى حسبما يُقدِّمها المستخدم إلى سكون تكافل من خلال أي تسهيل من ذلك القبيل.

هوية المستخدم تعني رمز التعريف المُميَّز كما خصصه و/أو اختاره المستخدم لتعريف نفسه بصفته الشخص الذي يُفوِّض بالخدمة و/أو المعاملة وفقًا لشروط هذه الاتفاقية.

المستخدم/أنت تعني العميل و/أو أي فرد يصل إلى هذا التسهيل، وتُفسر كلمة "أنت" تبعًا لذلك.

2-1      تشير عبارة "أي شخص" إلى أي شخص طبيعي أو هيئة عامة أو فردية (سواء كان لها شخصية قانونية منفصلة أم لا) والممثلين الشخصيين والخلف العام والخاص لذلك الشخص. الإشارة إلى أي "طرف" تشمل الممثلين الشخصيين لذلك الطرف وخلفه العام والخاص.

3-1      أي إشارة إلى أي مستند هي إشارة إلى ذلك المستند حسبما يجري تغييره أو تعديله أو تمديده أو تكميله أو إحلاله (في كل حال بخلاف ما يكون إخلالًا بنصوص هذه الاتفاقية) ويشمل أي مستند يكون تكميليًّا أو يُصرِّح بأنه إضافي أو مُبرم تبعًا لشروط الاتفاقية أو بالتوافق معها. أي تعديلات أو تغييرات أو إضافات لهذه الاتفاقية تُكوِّن جزءًا من هذه الاتفاقية وتُفسَّر معها.

4-1      تفسر أي إشارات إلى أي "قانون" أو "لائحة" على أنها تشتمل على أي قوانين أو لوائح أو مراسيم أو قواعد أو إرشادات إماراتية صادرة عن أي جهة أو دائرة أو وكالة أو مؤسسة حكومية ذات صلة حسبما تنطبق على موضوع هذه الاتفاقية.

5-1      تشمل الكلمات بالمفرد الجمع والعكس صحيح. أي إشارة إلى جنس واحد تشمل الإشارة إلى الأجناس الأخرى.

 

2-      استخدام التسهيل

1-2      يُعد التسهيل مُستخدمًا أو قد وصل إليك عند تحميله و/أو مواصلة تحميله على ذاكرة مؤقتة أو دائمة في جهاز الكمبيوتر الخاص بك أو نظام مماثل أو على متصفح الإنترنت الخاص به.

2-2      لمزيدٍ من التوضيحاتأو للحصول على دعم آخر في أي مرحلة بصدد التسهيل -بما في ذلك المعاملة- يرجى عدم المواصلة والاتصال بأرقام الدعم/أفراد التواصل لدى سكون تكافل و/أو مزود الخدمة لديها للمزيد من المساعدة.

3-2      توافق صراحةً على أنك لن تنتحل شخصية أي فرد/هيئة عند استخدام هذا التسهيل. لا يهدف استخدامك التسهيل إلا الاستفسار و/أو التقدُّم بطلب و/أو طباعة/تعديل خطة معينة من خطط تكافل وأي استخدام للتسهيل من ذلك القبيل يقع على عاتقك وحدك. جرى توفير التسهيل على أساس "الحالة الراهنة" و"حسبما هو متوفر". توافق على الالتزام بجميع القوانين الإماراتية أثناء استخدام التسهيل، بما في ذلك أثناء نشر أي استفسار عن نموذج دردشة الويب، إن وجد.

4-2      تتحمل المسؤولية عن توفير معدات الاتصالات وصيانتها (بما في ذلك الحواسب الآلية الشخصية وأجهزة المودم) وخدمات الهاتف أو تلك البديلة المطلوبة من جانبك للوصول إلى التسهيل واستخدامه، وعن جميع رسوم خدمات الاتصالات والرسوم التي تتكبَّدها للوصول إلى التسهيل أو توفيره.

5-2      تُفوِّض سكون تكافل تفويضًا غير قابل للنقض بقبول المعاملات التي أوعزت بها إلى سكون تكافل والتصرُّف بناءً عليها، وتلتزم بكل التعليمات والمعاملات المُستهَّلة أو المُبرمة من خلال التسهيل، بما في ذلك تقديم نموذج المقترح، ودفع جميع المساهمات والرسوم والمصروفات ذات الصلة حسبما تكون مطلوبةً من قِبَل سكون تكافل.

6-2      توافق على أن الوقت النهائي لأي يوم عمل هو الوقت نفسه بالنسبة لساعات العمل العادية لدى سكون تكافل في دولة الإمارات العربية المتحدة من الاثنين حتى الجمعة. جميع الطلبات المُتسلَّمة بعد الوقت النهائي أو في أي إجازة بنكية تُعد مُتسلَّمة في يوم العمل التالي.

7-2      توافق على أن سكون تكافل لا تتحمل المسؤولية تحت أي ظرف عن أي خسارة أو ضرر ناجم عن الطلبات المُقدَّمة إلى سكون تكافل إذا تسلَّمت سكون تكافل طلبات من ذلك القبيل في غير أوقات العمل العادية الخاصة بها.

8-2      توافق على أن أي معاملة لن تكون كاملة إلا عند إتمام العملية بنجاح وإقرارها بعد ذلك من قِبَل سكون تكافل.

9-2      توافق نظير الوصول إلى التسهيل واستخدامك التسهيل على توفير معلومات وبيانات حقيقية ودقيقة ومتداولة وكاملة وغيرها من المعلومات الأخرى حسبما يستدعي التسهيل أو يتطلب.

10-2    في حال توفيرك أي معلومات كاذبة أو غير دقيقة أو غير مُحدثّة أو ناقصة أو إذا كان لدى سكون تكافل أسبابًا معقولة للاشتباه بأن تلك المعلومات كاذبة أو غير دقيقة أو غير حالية أو ناقصة فلسكون تكافل الحق في وقف التسهيل و/أو عرض أسعارك و/أو خطتك (إن صدر) و/أو وصولك إلى التسهيل (أو أي جزء منه) أو إنهائه.

11-2    إذا اعتمدت أي معاملات -بما في ذلك إصدار الخطة- على أي معلومات كاذبة أو غير دقيقة أو معلومات غير مُحدّثة أو ناقصة الأساس فتكون المعاملات المذكورة قابلة للإلغاء وفق اختيار سكون تكافل أو تكون باطلة من أساسها حسبما ينطبق أو حسب الضرورة. في حال عدم توفير بيانات ومعلومات حقيقية وصحيحة وكاملة قد يتعذر عمل التسهيل أو لا يكون بالكفاءة المطلوبة.

12-2    تتعهد بموجبه بأنك فهمت بوضوح وتوافق على ما يلي:

(1)     إذا تبيَّن أن أي تفاصيل جرى ذكرها و/أو الإعلان عنها إلى سكون تكافل من خلال التسهيل -بما في ذلك النموذج المقترح المُقدَّم- احتيالية و/أو عارية من الصحة تحتفظ سكون تكافل بالحق في إلغاء جميع المزايا المستحقة بموجب الخطة و/أو اعتبار الخطة ملغية/باطلة من أساسه حسب التقدير المطلق لسكون تكافل دون الرجوع إلى العميل.

(2)     مراعاة العميل لشروط خطة تكافل الصادرة وحقيقة البيانات والإجابات منك/العميل في النموذج المقترح و/أو أي معلومات جوهرية أخرى جرى توفيرها من خلال التسهيل تُعدُّ شرطًا مسبقًا لأي مسؤولية تتحملها سكون تكافل. في حال تبديل الظروف التي صدر فيها خطة سكون تكافل تبديلًا جوهريًّا دون موافقة خطية من سكون تكافل يجوز اعتبار خطة تكافل ملغيًّا.

(3)     يُرجى التأكُّد من امتثالك في جميع الأوقات لشروط وأحكام الخطة التي تنسخ وتسود في جميع الأوقات.

(4)     يُرجى التأكُّد من إحاطتك التامة بجميع عوامل المخاطر، بما في ذلك تلك الخاصة بأموال/اختيارات الاستثمار أو غيرها المُستثمر فيها/الأخرى الخاصة بك كما هو مبين تفصيلًا بموجب خطتك. كما يُرجى قراءة نشرة الأموال ذات الصلة قبل اتخاذ قرار بشأن أي من اختيارات/أموال الاستثمار. لا تتحمل سكون تكافل المسؤولية في أي حال عن أي قرار اتخذته للاستثمار/عدم الاستثمار في أي أموال/محفظة مُعيَّنة.

(5)     بالنسبة لخطط تكافل المرتبطة بالوحدات، تخضع الاستثمارات كافةً لمختلف مخاطر الاستثمار والسوق، وتشمل الخسارة المحتملة جميع المساهمات المدفوعة/أصل المبلغ. لا توجد ضمانات على أن تخصيص أي أصل مُعيَّن أو مزيج من الأموال سيستوفي أي أهداف استثمارية أو يُزوِّد أي دخل، ولا يضمن التنوُّع أي ربح أو يحمي من الخسارة. يرجى قراءة مستند النشرة التفصيلي عن الصناديق التي اخترتها وفهمها والموافقة عليها، بما في ذلك فلسفة الاستثمار، والمخاطر الأساسية، والمصروفات والرسوم المعمول بها قبل الاستثمار في أي أموال. لا تعرض بيانات الأداء المعروضة للصناديق وأي محافظ نموذجية متوفرة لك من خلال التسهيل سوى الأداء السابق الذي لا يُعد ضمانًا أو مُؤشِّرًا للنتائج المستقبلية. تتقلب عوائد الاستثمار والقيمة الرئيسية بحيث قد تساوي المساهمات المُستثمر فيها أو المدفوعة عند بيعها أكثر من إجمالي المساهمات الأصلية أو أقل منها. قد يقل الأداء الحالي عن بيانات الأداء المذكورة في التسهيل أو يتوافق معها أو يزيد عنها.

(6)     لا ينبغي عليك في أي ظرف اتخاذ قرارات الاستثمار استنادًا على المعلومات التي جرى مناقشتها أو عرضها من خلال الخدمات الإلكترونية فقط. لا ينبغي عليك تفسير أي تفاصيل/تقارير أداء/معلومات جرى مناقشتها هنا على أنها مشورةً استثمارية. لا تُمثِّل تلك التفاصيل إلا معلومات بطبيعتها.

(7)     ينبغي عليك استشارة وسيط/وكيل مؤهل أو مستشارك المالي قبل اتخاذ أي قرارات فعلية للاستثمار. توافق على عدم اتخاذ قرارات استثمارية بناءً على أي بيانات أو تقارير أو تعقيبات على التسهيل أو أي فنيات جرى عرضها أو مناقشتها في هذا التسهيل أو أي شكل آخر من عرض المعلومات. لا تُستخدم المعلومات كلها إلا لأغراض التثقيف والإعلام. كما تحمل نتائج الأداء الافتراضي بعض الحدود الجوهرية، على عكس سجل الأداء الفعلي، لا تُمثِّل النتائج الافتراضية استثمارات فعلية. لم يصدر أي إقرار بأن أي استثمار سيُحقق أرباح أو خسائر مماثلة لتلك الظاهرة من خلال الخدمات الإلكترونية أو من المحتمل أن يُحقق ذلك.

(8)     تتحمل المسؤولية عن إجمالي التكلفة والمخاطر لأي استثمار تختار مباشرته. تتحمل المسؤولية وحدك عن اتخاذ قرارات الاستثمار الخاصة بك. في حال اختيارك الاشتراك في معاملات من ذلك القبيل مع أخذ المشورة أو دون أخذها من مستشار أو هيئة مالية مُؤهَّلة إذ يقع أي قرار من ذلك القبيل وأي عواقب تنشأ عن ذلك على عاتقك وحدك. لا يُقصد بالمعلومات والتعقيبات أن تكون موافقةً أو عرضًا لأي استثمار، فما هي إلا إرشاد الذي يجب أن تُسيطر عليه بحكم خبراتك الاستثمارية وعملية صنع القرار المستقلة. البيانات، والتقارير، والمواد، والمعلومات الواردة في هذا التسهيل والمُقدمة منه لا تُفسَّر ولا ينبغي تفسيرها بوصفها عرضًا بشراء أي أموال/استثمار/محفظة/خطة تكافل أو بيعها. لا تعد أي بيانات/تقرير/معلومات لا توصيةً ولا أي استمالة لشراء أي أموال/محفظة/خيارات استثمار تكافل أو بيعها.

(9)     تلفت سكون تكافل انتباه المستثمرين إلى استخدام المعلومات في التسهيل بوصفها مصدرًا لدعم لبحث الخاص بشأن الأموال/المحفظة/خيارات تكافل-الاستثمار المحتملة فقط لا غير. 

13-2     تُقر بموجبه امتثال سكون تكافل لأحكام العقوبات ذات الصلة وقوانين مكافحة غسل الأموال وتمويل الإرهاب في دولة الإمارات العربية المتحدة، بما في ذلك تلك الصادرة عن مصرف الإمارات العربية المتحدة المركزي بخصوص غسل الأموال ومكافحة تمويل الإرهاب فضلًا عن جميع القوانين والتعليمات ذات الصلة الصادرة عن مصرف الإمارات العربية المتحدة المركزي من حينٍ لآخر، وتوافق على إمداد سكون تكافل بجميع التفاصيل/السجلات ذات الصلة فورًا عند طلب سكون تكافل ذلك.

14-2     تعد أي معاملات باشرتها أنها خاصة بك وأنك باشرتها ولا تتحمل سكون تكافل المسؤولية عن أي سوء استخدام للتسهيل أو الخدمات. تتحمل مسؤولية ضمان عدم وصول أي شخص غير مُصرَّح له إلى جهاز الكمبيوتر غير المُراقب أثناء التعامل مع  التسهيل. إذا حصل الغير على صلاحية الوصول إلى التسهيل أو أي من الخدمات المعروضة بوصفها جزءًا من التسهيل من خلال حاسبك الآلي تُعد مسؤولًا وتوافق بموجبه على تعويض سكون تكافل بالكامل وإبراء ذمتها ضد أي مسؤولية أو تكاليف أو تعويضات ناشئة عن المطالبات أو القضايا من قِبَل الغير أو ضدهم بناءً على أي وصول وسوء استخدام من ذلك القبيل أو فيما يتعلق بذلك. لا تتحمل سكون تكافل أو أي شخص يشترك في إنشاء التسهيل أو إصداره أو تسليمه أو إدارته المسؤولية تحت أي ظرف عن أي أضرار مباشرة أو غير مباشرة أو عرضية أو خاصة أو تابعة تنتج عن استخدام التسهيل، بما في ذلك أي من الخدمات.

15-2     تلقِّي طلب/نموذج المعاملة المُكمل والدفعة الخاصة بأي مبلغ/اشتراك من سكون تكافل لا تُنشئ أي التزام على سكون تكافل بتأمين المخاطر. لا تتحمل سكون تكافل المسؤولية إلى أن يتم التأمين ضد المخاطر من جانبها وتُصدر الخطة/المعاملة المُصدَّقة والتامة بالتحديد. تحتفظ سكون تكافل بالحق في الرد على أي توضيح/معلومات أو رفضه أو وقفه أو حجزه أو طلب المزيد من أي منهما بشأن أي مقترح/معاملة مُقدَّمة من خلال التسهيل، وتدرك أيضًا أن المبالغ المعروضة قد تزداد أو تنقص وقد يجري تعديل/تكميل الشروط والأحكام بناءً على تقييم المخاطر المُؤمَّنة الذي أجرته سكون تكافل. لا تشكل أي معلومات أو نصائح وأدلة -إن وجد- متوفرة على الموقع الإلكتروني توصيةً أو إقرارًا من سكون تكافل بشراء أي خطة. أي قرار لشراء أي خطة لا يستند إلا على تقييمك الخاص لمتطلباتك والشروط والأحكام والاستثناءات من الخطة المعروض من قِبَل سكون تكافل وينبغي أن يكون كذلك. أي تقديم/تنويه بنموذج المطالبة لا يُشكِّل قبولًا بالمسؤولية من قِبَل سكون تكافل.

16-2     في حال وجود أي خلاف في مبلغ الاشتراكات (سواء المعروض أو المدفوع) من خلال التسهيل ومبلغ الاشتراكات الفعلية المطلوب من سكون تكافل لإصدار خطة التكافل الخاص بك أو تجديده لا يسري إلا مبلغ الاشتراكات الفعلية كما تتطلبه سكون تكافل لإصدار خطة تكافل الخاص بك أو تجديده في جميع الأوقات ويسود. لتجنب الشك، تدرك بوضوح أن دفعة الاشتراكات من خلال التسهيل لا تعني إصدار خطة تكافل المنطبق أو تُشير إلى إصداره. كما تفهم وتوافق أن سكون تكافل لا تتحمل أي التزام أو مسؤولية إلى أن تتسلَّم مبلغ الاشتراكات المطلوب بالكامل وبناءً على معايير تأمين سكون تكافل وصدور قرار خطة تكافل فعليًّا من قِبَل سكون تكافل. كما لا تتحمل سكون تكافل المسؤولية عن أي معاملة متأخرة أو عدم تسليم خطة تكافل المنطبق أو عدم إصداره لأي سبب أيًّا كان.

17-2     في حالة استخدام بطاقة الائتمان أو الخصم لسداد أي مبلغ/رسوم من خلال التسهيل، تُؤكِّد أن البطاقة المُستخدمة تعود إليك وقد حصلت عليها بطريق قانوني وشرعي إما من بنك مُرخَّص أو أي مؤسسة مالية أخرى مُرخَّصة أصولًا لإصدار بطاقات من ذلك القبيل. في حال أي رفض للتفويض بالدفع من قِبَل مُصدر بطاقة الائتمان الخاصة بك لا تتحمل سكون تكافل أي التزام بإبلاغك بالسبب وراء الرفض ويجوز لسكون تكافل رد تلك المعاملة.

18-2     ما لم يُذكر خلاف ذلك، جميع المبالغ/الرسوم المعروضة في التسهيل تُعرض بالدرهم الإماراتي. لا تتحمل سكون تكافل المسؤولية عن مُصدر البطاقة الخاصة بك أو البنك الذي يخصم منك الرسوم نتيجةً لمعالجة دفعة بطاقة الائتمان من خلال التسهيل، وتشمل أي رسوم لتحويل العملة.

19-2     أنت تدرك أن معاملتك لن تكتمل إلا عندما تُقر سكون تكافل وتُؤكد لك على نحو تفصيلي بأن المعاملة المُحددة قد أُبرمت بنجاح. في حال الشك، نُخطرك بالاتصال على الرقم المجاني للحصول على التحديثات/التأكيدات.

20-2     كما توافق وتُفوِّض بالكامل:

1-      سكون تكافل باستخدام أي من وكالات التحقيق المعتمدة الخاصة بها لمتابعة المراجع/مباشرة الاستفسارات عنك أو فيما يتعلق بك من أي مصدر معلومات أو أي شخص أو هيئة مُرشَّحة هنا،

2-      جميع المؤسسات المالية أو وكالات تحصيل الديون أو مكاتب الائتمان أو أي شخص أو هيئة أخرى تُفصح لسكون تكافل وتُمدها بأي معلومات مطلوبة عنك أو فيما يتعلق بك في حوزتها،

3-      أي صاحب عمل/جمعيات تجارية سابقة/حالية خاصة بك أو أي شخص أو مؤسسة أو ممارس طبي/مستشفيات/معامل/مزودي خدمات طبية أو شركات تأمين أو شركات تكافل أو مؤسسات مالية للإفراج عن جميع التفاصيل، والسجلات، والوقائع، والمعلومات لسكون تكافل (بما في ذلك تاريخ/تفاصيل المطالبة، وسجلات اعرف عميلك، وتفاصيل غسل الأموال ومكافحة تمويل الإرهاب وقانون الامتثال الضريبي للحسابات الخارجية (فاتكا)) حسبما تتطلب سكون تكافل في أي وقت لأي أسباب أيًّا كانت، ويشمل ذلك أغراض التقييم و/أو تأمين المخاطر و/أو تنفيذ المطالبات،

4-      سكون تكافل -في أي وقت ووفقًا لتقديرها المطلق- لاستخدام و/أو الإفصاح عن التفاصيل التمهيدية والمعلومات المُقدَّمة في خطة تكافل أو الطلب أو أي معلومات تتعلق بمسؤولياتك تجاه سكون تكافل أو أي معلومات مالية أخرى، بما في ذلك الإخلال بالالتزامات أو التقصير (وتشمل دفعة الاشتراكات أو تسديدها) أو أي معلومات مالية أخرى لأي هيئة أو منظمة أو مؤسسات مالية أو بنوك أو وكالات تحصيل ديون أو مكاتب ائتمان أخرى،

5-      سكون تكافل وشركائها المشاركين للاتصال بك في أي وقت (يشمل ذلك إلكترونيًّا عن طريق البريد الإلكتروني أو الرسالة النصية القصيرة أو الهاتف) لطلب أي معلومات إضافية و/أو لتوفير أي معلومات إضافية سواء تتعلق بخطة تكافل و/أو لإبلاغك بأي من منتجات سكون تكافل أو عروضها الترويجية الأخرى.

6-      سكون تكافل لاستخدام و/أو لنقل أي من بيانات الشخصية/معلوماتك الشخصية إلى مزودي الخدمات/الغير لديها في دولة الإمارات العربية المتحدة أو خارجها حسبما تتطلب سكون تكافل لأداء التزاماتها.

21-2     بالنسبة لأي طلبات أو مخاوف تتعلق بأي مبالغ/رسوم مدفوعة من خلال التسهيل، ينبغي عليك الاتصال بسكون تكافل شخصيًّا مع تقديم المعلومات التالية على الأقل:

  • رقم خطة تكافل، وتاريخ المعاملة، ومبلغ الاشتراكات المدفوع من خلال التسهيل،
  • معلومات الاتصال الخاصة بك بالتفصيل ودليل العلاقة مع العضو المشمول (إن كان مختلفًا)،
  • دليل دفع الاشتراكات من خلال التسهيل، مثل كشف بطاقة الائتمان الخاصة بك،
  • شرح سبب القلق/المخاوف،
  • أي مستندات داعمة ذات صلة.

22-2     بالرغم مما ورد آنفًا، تُقر بموجبه بأن سداد الاشتراكات يخضع للشروط والأحكام التفصيلية لخطة تكافل المعنية التي تُؤكِّد بموجبها مرةً أخرى أنك قرأتها وفهمتها ووافقت عليها بالكامل قبل دفع أي مساهمات من خلال هذا التسهيل. تُقر بموجبه أنه إذا سمحت شروط الخطة كلها بسداد أي اشتراكات فقد يستغرق الأمر 30 يوم عمل بعد تلقِّي سكون تكافل لطلب سداد الاشتراكات الخاصة بك لتنفيذ الطلب و/أو الاتصال بك.

23-2     تُعلن بموجبه وتقبل أن سكون تكافل غير ملزمة ولا تتحمل أي مسؤولية عن أي محتوى تشهيري أو افترائي أو كاذب أو فاحش أو إباحي أو تدنيسي أو خطير منشور على التسهيل أو من خلاله بواسطتك أو بواسطة أي شخص آخر/الغير. تفهم بموجبه وتتعهد بعدم نشر أي مواد غير شرعية أو تهديدية أو افترائية أو تشهيرية أو فاحشة أو فاضحة أو استفزازية أو إباحية أو تدنيسيه أو مبغضة أو أي مواد قد تُشكِّل أو تُشجِّع على تصرف قد يُعد جريمة جنائية أو يُؤدِّي إلى مسؤولية مدنية أو يخل بأي قانون. تدرك أن سكون تكافل تتعاون بالكامل مع أي سلطات لإنفاذ القانون أو أمر محكمة يطلب من سكون تكافل الإفصاح عن هوية أي شخص ينشر أي معلومات أو مواد من ذلك القبيل أو يُوجِّهها إلى ذلك.

24-2     لا يسري أي عرض أسعار معروض من خلال التسهيل إلا خلال تلك الفترة الزمنية فور إصداره ولا يجوز استخدامه خلال هذه الفترة إلا لإتمام المعاملة الخاصة بشراء أي خطة. توافق على أنك ستكون المستخدم الوحيد والحصري لأي عرض أسعار صادر بالنيابة عنك باستخدام معلومات الشخصية وتقبل تحمل المسؤولية وحدك عن استخدامه وسريته وحمايته. تلتزم سكون تكافل بمشاركة تفاصيل عرض الأسعار الصادر عنك مع مزودي الخدمات من الغير لتنفيذ المعاملات، بما في ذلك بدء دفعات الاشتراكات. يُرجى مراعاة عدم الإفصاح عن عرض الأسعار لأي من الغير/أي شخص. يحق لسكون تكافل وفقًا لتقديرها وحدها طلب تأكيد خطي أو غير ذلك دون اتصال منك بخصوص أي معاملة مُنفَّذة من خلال التسهيل. لا تتحمل سكون تكافل أو أي شخص يشترك في إنشاء التسهيل أو إصداره أو تسليمه أو إدارته المسؤولية تجاهك تحت أي ظرف عن أي أضرار مباشرة أو غير مباشرة أو عرضية أو خاصة أو تابعة تنتج عن استخدام الخدمات أو عدم القدرة على استخدامها التي جرى توفيرها في التسهيل أو عن أي إخلال بأي ضمان.

25-2     كما توافق بموجبه على دفع أي رسوم/مبالغ لسكون تكافل نظير استخدام التسهيل في حال طلب سكون تكافل في ذلك الوقت من حينٍ لآخر.

26-2     تعد أي روابط أو مؤشرات لدى الغير إلى مواقع إلكترونية خارجية يحتفظ بها الغير وتمثل "مواقع الغير" ولا يُقصد بها سوى التيسير. لا تملك سكون تكافل السيطرة على أي مواقع ومصادر من ذلك القبيل، ولا تتحمل مسؤولية وجود  أي مواقع أو مصادر خارجية من ذلك القبيل، ولا توافق على أي مسؤولية ولا تتحملها بخصوص أي محتوى أو إعلان أو منتجات أو مواد في مواقع أو مصادر من ذلك القبيل أو متوفرة منها. لا تتحمل سكون تكافل المسؤولية -بطريق مباشر أو غير مباشر- عن أي ضرر أو خسارة ناشئة أو يُزعم أنها تنشئ عن أو تتصل بالاستخدام أو الاستناد إلى أي محتوى أو بضائع أو خدمات من ذلك القبيل متوفرة على أي موقع أو مصدر من ذلك القبيل أو من خلاله. في أي حال، لا تتحمل سكون تكافل المسؤولية تجاه أي طرف عن أي أضرار مباشرة أو غير مباشرة أو خاصة أو تبعية نظير أي استخدام لهذا الموقع الإلكترونية أو أي موقع إلكترونية مرتبط تشعبيًّا، بما في ذلك دون حصر أي أرباح فائتة أو انقطاع الأعمال أو ضياع البرامج أو غيرها من البيانات على نظام مناولة البيانات الخاص بك أو خلاف ذلك حتى لو جرى إخطارنا صراحةً باحتمالية أي أضرار من ذلك القبيل. إذا وجدت أي شيء غير مناسب في أي موقع لدى الغير يُرجى إبلاغنا فورًا.

 

3-      المراسلات الإلكترونية

1-3      الخدمات الإلكترونية هي خدمة إلكترونية قائمة على الإنترنت. نخطرك بموجبه وننبهك إلى المخاطر المرتبطة بالخدمات القائمة على استخدام الإنترنت ونظام الرسائل القصيرة.

2-3      تكون جميع المراسلات في النماذج الإلكترونية أو الورقية بصيغة "خطية"، لذلك عليك طباعة نسخة ورقية من أي مراسلات إلكترونية مهمة والاحتفاظ بنسخة من السجلات.

3-3      توافق على تحديث سجلات التسجيل الخاصة بك فورًا، وتشمل عنوان بريدك الإلكتروني أو رقم المتحرك أو غيرها من المعلومات في حال تغيُّرها.

4-3      يجوز نشر المراسلات على صفحات الخدمات الإلكترونية و/أو موقع سكون تكافل و/أو تسليمها إلى عنوان البريد الإلكتروني الذي تُوفره. تُعد أي مراسلات إلكترونية (وتشمل الرسائل النصية القصيرة/الرسائل الإلكترونية) بأنها مستلمة منك عندما تُرسلها سكون تكافل إليك بصرف النظر عما إذا تسلَّمت الرسالة الإلكترونية/الرسالة النصية القصيرة أم لا. في حال نشر المراسلات على الخدمات الإلكترونية فإنها تُعد مُتسلَّمةً منك في غضون يومي (2) عمل بحد أقصى بعد نشر سكون تكافل للمراسلات على صفحات الخدمات الإلكترونية سواء استرجعت المراسلات على نحو منفصل أم لا. تعد أي مراسلات إلكترونية عن طريق الرسائل الإلكترونية بأنها مُرسلة في الوقت الذي يُوجِّه فيه خادم الرسائل الإلكترونية لدى سكون تكافل عنوان البريد الإلكتروني المناسب. أي مراسلات إلكترونية صادرة عن طريق النشر على صفحات الخدمات الإلكترونية تُعد أنها مُرسلةً وقت توافرها علنًا. توافق على أن هذه إجراءات معقولة لإرسال المراسلات الإلكترونية وتلقِّيها.

5-3      للوصول إلى المراسلات والاحتفاظ بها، عليك الاحتفاظ بحساب بريد إلكتروني سارٍ وبرمجيات بريد إلكتروني قادرة على قراءة الرسائل الإلكترونية الخاصة بسكون تكافل.

6-3      بوصفها جزءًا من الخدمات، تمنح بموجبه موافقة غير مشروطة لسكون تكافل و/أو مزودي الخدمات لديها للاتصال بك وإرسال إخطارات عبر رسائل نصية قصيرة (بما في ذلك الإخطارات التسويقية/الترويجية) على هاتفك المتحرك/الخط الأرضي/البريد الإلكتروني. توافق على تلقِّي أي عدد من الإخطارات من ذلك القبيل في أي وقت في اليوم أو الليل.

7-3      لا تتحمل سكون تكافل مسؤولية أي عطل في الشبكة من مزود الشبكة أو أي خطأ في النقل من أي إخفاق من ذلك القبيل لم تتسلَّمه.

8-3      تفهم وتُقر بتحملك الكامل للرسوم المفروضة نظير تلقِّي إخطارات من ذلك القبيل والتي قد تشمل رسوم التجوال عبر الهاتف المتحرك و/أو رسوم إضافية أخرى في حال فرضها من قِبَل مزود خدمات غير إماراتي.

9-3      توافق بموجبه على تعويض سكون تكافل ومزودي الخدمات لديها بالكامل نظير أي دعاوى أو إجراءات أو مسؤولية أو تكاليف أو رسوم أو خسائر أو تعويضات (وتشمل التكاليف القانونية) التي قد تتكبدها فيما يتصل بتوفير الإخطارات الإلكترونية أو نتيجةً لأي معاملة على شبكة النظام العالمي لاتصالات الهواتف المتحركة فيما يتصل بأي إخطارات إلكترونية من ذلك القبيل.

10-3    عليك أن تُخطر سكون تكافل فورًا بأي فقدان أو سرقة/قرصنة لهاتفك المتحرك/حساب بريدك الإلكتروني وعليك من وقت الإخطار وقف تقديم أي إخطارات من ذلك القبيل لذلك الهاتف المتحرك/حساب البريد الإلكتروني.

11-3    لا تتحمل سكون تكافل المسؤولية عن أي خسارة أو ضرر أو عواقب أخرى ناجمة عما يلي: 

-      عدم إرسال أي إخطارات لأي سبب، بما في ذلك نتيجةً لإغلاق هاتفك المتحرك أو فقدانه أو سرقته،

-      إرسال أي إخطار إلكتروني لأي طرف بخلافك إذا لم يكن الهاتف المتحرك أو بطاقة وحدة تعريف المشترك في حوزتك أو سيطرتك لأي سبب أيًّا كان (سواء بموافقتك أو بدون موافقتك)،

-      إرسال رسالة إلى هاتف متحرك آخر بسبب تصرف سكون تكافل أو موظفيها أو مسؤوليها أو وكلائها أو أي من الغير أو إغفالهم أو خطأهم (بما في ذلك دون حصر أي مزود خدمات) أو استخدام خدمة الإخطارات الإلكترونية وتوفيرها بأي طريقة.

12-3    لا تقبل سكون تكافل المسؤولية عن أي خسارة أو ضرر ناشئة بطريق مباشر أو غير مباشر عن إجراءات مُتخذة أو غير مُتخذة منك أو من أي من الغير استنادًا إلى المواد أو المعلومات الواردة في أي رسالة أُرسلت إليك إلكترونيًّا.

13-3    تُقر بأن أي قيمة/رصيد مبالغ مُقدَّم إليك إلكترونيًّا من خلال استخدام الإخطار الإلكتروني لا يُعد لأي غرض أيًّا كان بيانًا نهائيًّا برصيدك وعليك إعادة التحقق منه عند فرع سكون تكافل في حال الحاجة.

 

4-      هوية المستخدم وكلمة المرور

1-4       يُؤكد المستخدم ويوافق على أن المستخدم هو المالك الوحيد والحصري وهو المستخدم المُفوَّض حصريًّا لهوية المستخدم وكلمة مرور المستخدم، ويتحمل المسؤولية وحده عن استخدام هوية المستخدم وكلمة مرور المستخدم فضلًا عن جميع المعاملات المُستهلَّة من خلال هوية المستخدم الخاصة به وسريتها وحمايتها، ويضمن عدم الكشف عن كلمات مرور المستخدم للغير أو تسجيلها في أي نموذج خطي أو إلكتروني. يتعهد العميل بعدم الإفصاح عن كلمة المرور لأي شخص، بما في ذلك موظفي سكون تكافل.

2-4       تكون أي معاملات مُصرَّح بها يمكن مباشرتها باستخدام هوية المستخدم وكلمة مرور المستخدم خاصة بك بحيث تتمتع بكامل باشرتها الصلاحية المفوضة من الهيئة الاعتبارية المُمثَّلة والعميل، ولا تتحمل سكون تكافل مسؤولية أي سوء استخدام للتسهيل أو الخدمات. إذا حصل الغير على صلاحية الوصول إلى التسهيل أو أي من الخدمات المعروضة بوصفها جزءًا من التسهيل من خلال استخدام هوية المستخدم وكلمة مرور المستخدم يُعد المستخدم مسؤولًا ويتولى بموجبه تعويض سكون تكافل وإبراء ذمتها ضد أي مسؤولية أو تكاليف أو تعويضات ناشئة عن المطالبات أو القضايا من قِبَل الغير أو ضدهم بناءً على أي وصول وسوء استخدام من ذلك القبيل أو فيما يتعلق بذلك.

3-4       يتحمل المستخدم المسؤولية عن ضمان عدم وصول أي شخص غير مُصرَّح له إلى حاسبه الآلي غير المُراقب أثناء استخدام التسهيل.

4-4       يُخطر المستخدم فورًا سكون تكافل خطيًّا عند إدراك المستخدم بأي فقدان أو سرقة أو استخدام غير مُصرَّح به لهوية المستخدم و/أو كلمة مرور المستخدم أو أي تسلُّم من المستخدم لتأكيد أي معاملة لم يبادر بها المستخدم أو يُصرِّح بها أو عند معرفته بإدراج أي معلومات غير دقيقة خاصة بأي خطة صادرة. إذا لم يُخطر المستخدمُ سكون تكافل فورًا عند إحاطته علمًا عندما تقع أي من الشروط المذكورة آنفًا فلا تتحمل سكون تكافل أو أي من مسؤوليها أو مديريها أو موظفيها أو مستشاريها أو شركاتها الزميلة أو شركاتها التابعة أي مسؤولية تجاه المستخدم أو أي شخص آخر قد تنشأ مطالبته من خلال العميل أو المستخدم بصدد أي من الظروف الموصوفة آنفًا.

5-4       لا تتحمل سكون تكافل أو أي شخص يشترك في إنشاء التسهيل أو إصداره أو تسليمه أو إدارته المسؤولية تحت أي ظرف عن أي أضرار مباشرة أو غير مباشرة أو عرضية أو خاصة أو تابعة تنتج عن استخدام التسهيل، بما في ذلك أي من الخدمات.

 

5-      الدليل على معاملات الحساب

1-5       تُقبل سجلات سكون تكافل الخاصة بالمعاملات التي تحتفظ بها من خلال نظم الحاسب الآلي الخاصة بها أو الخاصة بمزودي الخدمات لديها بوصفها قاطعة وملزمة لجميع الأغراض. وبوجه خاص، تُمثِّل سجلات سكون تكافل الصادرة عن المعاملات -بما في ذلك تسجيل وقت المعاملات- دليلًا قاطعًا على صحة المعاملات ودقتها.

 

6-      القيود على الاستخدام

1-6       توافق على عدم استخدام هذا التسهيل أو التسهيل لأي غرض غير قانوني أو بطريقة تخالف الاتفاقية أو القانون الإماراتي. توافق على عدم استخدام أي معلومات واردة في التسهيل أو نقلها أو توزيعها أو التصرف فيها بأي طريقة قد تنافس أعمال سكون تكافل أو تتعارض مع مصالحها أو تعرض مصالح سكون تكافل للخطر. تُقر بأن التسهيل قد جرى تطويره وتأليفه وإعداده وتنقيحه واختياره وترتيبه من قِبَل سكون تكافل و/أو مزود الخدمة لديها من خلال طلب تطبيق طرق ومعايير الحكم التي جرى تطويرها وتطبيقها من خلال استهلاك وقت وجهد وأموال كبيرة، وأنه يُشكِّل ملكية فكرية قيِّمة لدى سكون تكافل و/أو مزود الخدمة وقد يشمل أيضًا أسرارًا تجارية خاصة بسكون تكافل و/أو مزود الخدمة لديها وآخرين من ذلك القبيل. توافق في جميع الأوقات على حماية حقوق الملكية لدى سكون تكافل/مزودي الخدمات لديها والآخرين جميعًا الذين يتمتعون بالحقوق في التسهيل في جميع الأوقات، والامتثال لجميع الطلبات الخطية المعقولة الصادرة عن سكون تكافل أو موردي المحتوى أو المعدات أو خلاف ذلك لديها ("الموردين") لحماية حقوقهم التعاقدية والتشريعية وحقوق القانون العام في التسهيل.

2-6       توافق على إخطار سكون تكافل خطيًّا وفورًا عند إدراكك بأي وصول أو استخدام غير مُصرَّح به للتسهيل من قِبَل أي طرف أو أي مطالبة حين ينتهك التسهيل أي حقوق تأليف ونشر أو علامة تجارية أو غيرها من الحقوق التعاقدية أو التشريعية أو حقوق القانون العام.

3-6       يُحظر عليك:

(‌أ)     عكس تصميم التسهيل أو إزالة ترجمته أو تفكيكه أو نسخه أو إعادة إصداره أو توزيعه أو تعديله أو نقله أو تأدية أعمال اشتقاقية أو نشرها أو إنشائها منه أو استغلاله بأي طريقة تخل بالاتفاقية أو قوانين دولة الإمارات العربية المتحدة.

(‌ب)     إنشاء قاعدة بيانات على شكل إلكتروني أو يدوي التنظيم عن طريق تنزيل التسهيل كليًّا أو جزئيًّا وتخزينه بانتظام باستثناء تلك المعلومات التي تتعلق بك أو تخصُّك.

(‌ج)     تأجير وصولك إلى التسهيل أو إيجاره أو بيعه أو ترخيصه من الباطن أو إقراضه.

(‌د)     التخزين المؤقت أو السماح لأي شخص بالتخزين المؤقت.

(‌ه)     القيام بأي فعل يخل بحقوق الملكية الفكرية الخاصة بسكون تكافل أو مزود الخدمات لديها في التسهيل .

(‌و)     الاشتراك في أي نشاط احتيالي أو فاسد أو غير قانوني، بما في ذلك دون حصر أي مراسلات أو استمالة مُصمَّمة أو مقصود بها الحصول بشكل احتيالي على كلمة المرور وأي معلومات خاصة بأي استخدام.

(‌ز)     استخدام هذا التسهيل أو أي التسهيل للإخلال بأمن أي حاسب آلي أو شبكة الحاسب الآلي أو لفك شفرة كلمات المرور أو رموز التشفير الأمنية أو نقل المواد غير القانونية أو تخزينها، وتشمل المواد التهديدية أو الفاحشة أو الاشتراك في أي نوع من الأنشطة غير القانونية.

(‌ح)     تشغيل قائمة البريد أو أي شكل من الاستجابة التلقائية أو إرسال بريد عشوائي إلى التسهيل أو أي عمليات يجري تشغيلها أو تفعيلها بينما لا تكون مُسجلًا للدخول أو تشترك في أي هجوم فيروسي أو رفض للخدمة المرفقة أو المشتركة في أي نشاط مُصمم و/أو مقصود به التدخل في عمل التسهيل/التسهيل لأي مدة زمنية.

 

7-      إخلاء المسؤولية عن الضمانات

7-1        تقبل قبولًا غير قابل للنقض وغير مشروط بأن أي معاملة و/أو تعليمات صادرة أو واردة من خلال الخدمات الإلكترونية تقع بالكامل على عاتقك. يمثل سجل سكون تكافل لأي معاملة أو تعليمات جرى تنفيذها فيما يتصل بالخدمات الإلكترونية دليلًا ملزمًا ونهائيًّا لأي معاملة أو تعليمات من ذلك القبيل لجميع الأغراض.

7-2       توافق على أن كل الإجراءات الأمنية التي تستخدمها سكون تكافل وتُنفِّذها معقولة ومناسبة. تحافظ على سرية الإجراءات الأمنية وتضمن بقائها سرية في جميع الأوقات وتتجنب الإفصاح و/أو الاستخدام من قِبَل أي شخص آخر لهوية المستخدم أو أي طرق/أجهزة تفويض أخرى لم يُفصح عنها لأي من الغير أو الموظفين المُفوَّضين. نُخطرك بموجبه:

(‌أ)     بتذكر هوية المستخدم وكلمة المرور وإتلاف أي إخطار في أسرع وقت عندما تتلقَّاه،

(‌ب)     بعدم كتابة هوية المستخدم أو كلمة المرور أو تسجيلها،

(‌ج)     بأنه لا يجوز لك الوصول إلى التسهيل على مدار 24 ساعة طوال الأسبوع لأن هناك بعض عمليات الإغلاق المُخطط لها و/أو غير المتوقعة خلال ساعات التشغيل وغير ذلك. تُقر بأن عمليات الإغلاق من ذلك القبيل قد تُؤدِّي إلى الوصول الجزئي إلى الخدمات الإلكترونية أو انتفائه تمامًا. تحتفظ سكون تكافل بالحق في تسجيل جميع البيانات المتعلقة بأي اتصال أو إجراء يتعلق بأي معاملات في نظمها المعلوماتية. تبذل سكون تكافل مساعيها المعقولة لتنفيذ المعاملات/التعليمات في أسرع وقت عند تسلُّمها منك وقبول النظم المعلوماتية الخاصة بسكون تكافل لها ولكن لا تضمن أي وقت تحديدًا. يجري التحقق من البيانات ومحتوى كل معاملة/تعليمات بأي طرق متوفرة لسكون تكافل.

7-3       توافق على وجه التحديد على أن أي سوء استخدام أو إهمال ناجم عنك بموجب هذه الاتفاقية يمنح سكون تكافل الحق في اتخاذ إجراء مناسب ضدك وضد الآخرين المشتركين في أي أفعال من ذلك القبيل بموجب القانون المدني و/أو الجنائي و/أو العام من أجل التعويضات و/أو العقوبة. توافق على تعويض سكون تكافل وإبراء ذمتها في جميع الأوقات من كل الخسائر أو التعويضات أو التكاليف أو المصروفات أو فوات الأرباح أو فقدان النشاط أو الإجراءات القضائية أو الدعاوى أو القضايا (وتشمل الرسوم القانونية) اللاحقة بسكون تكافل أو التي تتحملها بوصفها نتيجةً مباشرة أو غير مباشرة لأفعالك، وتشمل ما يعود إلى الإخلال بهذه الاتفاقية أو الخطأ أو الإهمال أو التقصير.

7-4       لا تتحمل سكون تكافل المسؤولية عن صحة أي معلومات أو أبحاث أو تقارير أو تحاليل أو عروض أسعار وما إلى غير ذلك في هذا التسهيل أو أي جزء منه أو دقته أو كماله أو أخطائه أو إغفاله أو أخطائه المطبعية أو تعطيله أو تأخره أو انقطاعه أو إخفاقه أو حذفه أو قصوره.

7-5       لا تتحمل سكون تكافل المسؤولية بطريق مباشر أو غير مباشر تجاهك أو أي من الغير نتيجةً لعدم تشغيل أي معدات تعود إليك أو إلى أي من الغير أو إلينا. لا نتحمل المسؤولية عن أي أعطال من ذلك القبيل.

7-6       لا تضمن سكون تكافل أن الوصول إلى هذا التسهيل وأي تسهيل سيكون مستمرًا أو في حينه أو آمنًا أو خاليًّا من الأخطاء، ولا تقدم سكون تكافل أي ضمان بخصوص النتائج التي قد يجري الحصول عليها من التسهيل أو استخدام التسهيل أو دقة التسهيل أو موثوقيته.

7-7       لا تتحمل سكون تكافل المسؤولية عن أي إجراء اتخذته بناءً على المعلومات الواردة في التسهيل أو التي يوفرها أو بالاستناد إليها.

7-8       لا تتحمل سكون تكافل المسؤولية عن أي فيروس قد يدخل إلى نظامك نتيجةً لاستخدامك التسهيل. لا تقدم سكون تكافل أي ضمان لك أو للغير بشأن خلو التسهيل من الفيروسات. لا تتحمل سكون تكافل المسؤولية عن أي خسارة مباشرة أو عرضية أو تبعية قد تلحق بك نتيجةً لاستخدام هذا التسهيل/أي التسهيل.

7-9       في حال عدم رضاك عن هذا التسهيل أو أي جزء منه أو أي تسهيل أو أي من شروط وأحكام الاتفاقية فإن سبيل انتصافك الوحيد والحصري هو وقف استخدام هذا التسهيل.

7-10     تحتفظ سكون تكافل بالحق في تخزين المعلومات على الحاسب الآلي الخاص بالمستخدم في شكل "ملف تعريف الارتباط" أو ملف مماثل لأغراض تعديل التسهيل ليعكس تفضيلات المستخدمين.

7-11     إذا تعذر إتمام أي معاملة فتبذل سكون تكافل و/أو مزودو الخدمات الجهود المعقولة لإتمام المعاملة بمجرد علمهم بعدم إتمام التحويل أو الدفع.  لا تضمن سكون تكافل التنفيذ الجيد والآني للمعاملات ولا تتحمل المسؤولية عن أي أضرار مباشرة أو غير مباشرة أو عرضية أو خاصة أو تبعية نتيجةً لعدم إتمام أي معاملة بموجب الخدمات الإلكترونية التي لم تكن مقصودة ونتجت عن خطأ بحسن نية بالرغم من إجراءات البنك بتجنب أي خطأ من ذلك القبيل، على سبيل المثال:

7-12     لا تكون سكون تكافل ملزمة بإبلاغك بعدم تنفيذ أي دفعة أو تنفيذ أي معاملة. يجوز لسكون تكافل في أي وقت أن تطلب منك تأكيدًا خطيًّا بالمعاملات المُقدَّمة. تُقر عدم مساهمة  أي من المعاملات في غسل العوائد الإجرامية وتتحمل المسؤولية عن صحة معاملاتك ومشروعيتها.

 

8-      التعويض

8-1       تقدم الخدمات الإلكترونية بالكامل على مسؤوليتك وتوافق على تعويض سكون تكافل، ومزودي الخدمات لديها، وشركاتها الزميلة، وشركائها، ومسؤوليها، ومديريها، وموظفيها، ومستشاريها، ووكلائها والدفاع عنهم وإبراء ذمتهم ضد جميع مطالبات الغير و/أو المسؤوليات و/أو التعويضات و/أو التكاليف (بما في ذلك دون حصر أتعاب المحاماة) الناشئة عن استخدامك الخدمات الإلكترونية واعتماد سكون تكافل على المعلومات و/أو المعاملات و/أو التعليمات و/أو الترخيص و/أو التفويض الذي قدَّمته بموجب شروط وأحكام هذه الاتفاقية وتبعًا لها، و/أو إخلالك بشروط وأحكام هذه الاتفاقية أو انتهاكك -أو انتهاك من أي مستخدم آخر لهوية المستخدم الخاصة بك- لأي حقوق ملكية فكرية أو غيرها من الحقوق الخاصة بأي شخص أو هيئة، و/أو استخدام الخدمات، و/أو تصرف سكون تكافل بناءً على المعاملة/التعليمات أو أي ضرر يلحق بنظامك أو بأي طرف آخر ، و/أو سوء استخدامك/استخدامك/وصولك الخاطئ إلى الخدمات الإلكترونية وهوية المستخدم كما منحته سكون تكافل نظير تعذر توفير أي من التسهيلات المتاحة بموجب الخدمات الإلكترونية، وتشمل أي خلل/عطل فني. لا تضمن سكون تكافل دقة المعلومات وكمالها وانضباطها المنصوص عليها أو المشمولة في الخدمات الإلكترونية، وتخضع أي معلومات منصوص عليها أو مشمولة من خلال الخدمات الإلكترونية للتعديل والتبديل والتغيير من حينٍ لآخر.

 

9-      حدود المسؤولية

9-1        لا تتحمل سكون تكافل وموظفيها ومديريها ومورديها والمستشارين من الغير لديها -تحت أي ظرف، بما في ذلك دون حصر الإهمال- المسؤولية عن أي أضرار مباشرة أو غير مباشرة أو عرضية أو خاصة أو تبعية أو أي أضرار أيًّا كانت تشمل تلك العقابية أو الرادعة (بما في ذلك دون حصر الأضرار الناجمة عن أي فيروس أو إصابة بدنية أو فوات الأرباح أو البيانات أو تلك المعنوية الأخرى أو انقطاع الأعمال أو فقدان الخصوصية أو أي خسارة نقدية أخرى) ناشئة أو تتصل بأي طريقة بالاستخدام/التسليم/الأداء الخاص بهذا التسهيل، أو بالتأخير أو عدم إمكانية استخدام هذا التسهيل أو أي روابط أو بنود في التسهيل، أو بتوفير الخدمات أو عدم توفيرها، أو عن المحتوى الذي جرى الحصول عليه من خلال هذا التسهيل أو الناشئ خلاف ذلك عن استخدام هذا التسهيل سواء كان ذلك بناءً على العقد أو الخطأ أو المسؤولية القانونية أو خلاف ذلك، أو عن تكلفة شراء بضائع بديلة وإصلاح الخدمات وتصحيحها أو الناتج عن استخدام هذا التسهيل أو الرسائل التي تم الحصول عليها أو تلقِّيها أو المعاملات التي تم إبرامها من خلال هذا التسهيل أو الناتجة عن الوصول غير المُصرَّح به أو تبديل عمليات النقل الخاصة بك أو البيانات حتى لو أُخطرت سكون تكافل باحتمالية وقوع أي أضرار من ذلك القبيل.

9-2        توافق على عدم تحمل سكون تكافل المسؤولية عن أي أضرار ناشئة عن انقطاع التسهيل أو وقفه أو إنهائه، بما في ذلك دون حصر الأضرار المباشرة أو غير المباشرة أو العرضية أو الخاصة أو التبعية أو الرادعة، سواء كان ذلك الانقطاع أو الوقف أو الإنهاء مُبرَّرًا أم لا أو كان عن إهمال أو قصد أو كان عن سهو أو انتباه.

9-3        توافق على أن الخدمات الإلكترونية مُقدمة حصريًّا لمصلحتك. لا تتحمل سكون تكافل المسؤولية بأي طريقة أو شكل عن توفير الخدمات الإلكترونية، بما في ذلك دون حصر أي مما يلي:

(‌أ)     إذا تعذر عليك الوصول و/أو استخدام الخدمات الإلكترونية لأي سبب يشمل أي خلل أو عطل فني أو في الاتصالات أو الشبكة،

(‌ب)     عن أي خسارة أو ضرر قد ينشأ أو يجري تكبُّده بطريق مباشر أو غير مباشر بسبب تنفيذ سكون تكافل لأي معاملات أو تعليمات أو من أي خلل أو عطل في الخدمات الإلكترونية،

(‌ج)     عن أي تغيير أو تبديل أو إضافات أو محذوفات لشروط وأحكام الاتفاقية هذه أو الخدمات الإلكترونية أو نظم تشغيل الخدمات الإلكترونية أو الأوقات النهائية،

(‌د)     عن أي نقل أو تحويلات جزئية أو ناقصة أو متأخرة أو غير ناجحة لأي مُتسلِّم/مستفيد/الغير المُعيَّن بموجب الخدمات الإلكترونية لأي أسباب تقع خارج نطاق تحكم سكون تكافل.

 

10-      الملكية الفكرية وتقنية سكون تكافل

10-1     تكون جميع الملكيات الفكرية، ومواد تقنية سكون تكافل، والمستندات، وغيرها من برمجيات وأجهزة الحاسب الآلي التي تعود إلى سكون تكافل و/أو المتعلقة بالأعمال المُدارة بموجب هذه الاتفاقية والتي في حوزتك في جميع الأوقات متوفرة لسكون تكافل وممثليها المُفوَّضين أصولًا للفحص والتدقيق.

10-2     في حال إنهاء هذه الاتفاقية أو صدور إخطار بالإنهاء فعليك تسليم أدوات الملكية الفكرية، وتقنية سكون تكافل، والمواد، والمستندات، وبرمجيات وأجهزة الحاسب الآلي التي تعود إلى سكون تكافل والتي في حوزتك إلى سكون تكافل في غضون ثلاثين (30) يومًا من التاريخ الذي تُنهى فيه هذه الاتفاقية.

10-3     تمنحك سكون تكافل بموجبه حقًا غير حصري، وشخصي، وخاليًّا من الرسوم، وغير قابل للنقل، وغير قابل للتنازل لاستخدام الملكية الفكرية الخاصة بسكون تكافل وتقنيتها في دولة الإمارات العربية المتحدة حسبما توفرها لك سكون تكافل لغرض هذه الاتفاقية (مخرجات سكون تكافل). بالرغم من الحقوق الممنوحة لك بموجب هذه الاتفاقية، تحتفظ سكون تكافل بجميع حقوق الملكية والمزايا (بما في ذلك دون حصر جميع حقوق الملكية الفكرية في جميع أنحاء العالم) في مخرجات سكون تكافل، بشرط أن تتعهد وتوافق على عدم استخدام مخرجات سكون تكافل إلا فيما يتصل بأداء التزاماتها بموجب هذه الاتفاقية ودعمًا لها.

10-4     كما تتعهد وتوافق على أن تهتم بتقنية سكون تكافل على نحو كافٍ في جميع الأوقات وتضمن الرعاية الكافية ودقة البيانات المُقيَّدة في تقنية سكون تكافل و/أو الملكية الفكرية لدى سكون تكافل و/أو المُرسلة منها.

10-5     ينبغي عليك أن تفترض أن كل شيء تراه أو تقرأه أو تسمعه أو تختبره في التسهيل (بما في ذلك دون حصر الدلائل، والأدلة، والمقالات الإخبارية، والآراء، والمراجعات، والنصوص، والصور الفوتوغرافية، والصور، والرسوم التوضيحية، والملفات الشخصية، ومقاطع الصوت، ومقاطع الفيديو، والعلامات التجارية، وعلامات الخدمة وما شابه ذلك (يُشار إليهم مجتمعين باسم "المحتوى")) تُعد محفوظة الحقوق/محمية بموجب قوانين حقوق الملكية الفكرية ما لم يُذكر خلاف ذلك ولا يجوز استخدامها إلا وفقًا لما ورد في هذه الاتفاقية.

10-6     رهنًا بالأحكام المذكورة آنفًا، لا تستخدم أيًّا من الملكيات الفكرية لدى سكون تكافل و/أو مزود الخدمة لديها أو اسمها أو علاماتها التجارية أو علامات الخدمة الخاصة بها أو شعاراتها دون الحصول أولًا على موافقة خطية من سكون تكافل واعتمادها.

 

11-      السرية

11-1     لا يقوم الطرف المُتلقِّي في أي وقت دون الحصول على موافقة خطية مسبقة من الطرف المُفصِح بما يلي:

(‌أ)     باستخدام أي من المعلومات السرية أو نسخها أو توظيفها أو استخدامها إلا ما يكون دعمًا لالتزاماته بموجب هذه الاتفاقية،

(‌ب)     الإفصاح عن أي من المعلومات السرية لأي من الغير بخلاف ما يكون لأي من ممثلي الطرف المُتلقِّي الذين يتعين عليهم على نحو معقول عند أداء واجباتهم تلقيها والحصول عليها، والذين أحيطوا علمًا بأحكام السرية الواردة في هذه الاتفاقية. يكون الطرف المُتلقِّي مسؤولًا أساسًا عن أي إخلال بهذه النصوص من قِبَل أي من ممثليه،

(‌ج)     عمل نسخ من المعلومات السرية أو إعادة إصدارها في أي شكل إلا لغرض استخدامها لدعم التزاماته بموجب هذه الاتفاقية و/أو توريدها لهؤلاء المسموح لهم بالإفصاح بالتوافق مع هذه الاتفاقية.

11-2     يتخذ الطرف المُتلقِّي الحيطة المعقولة للمحافظة على سرية المعلومات السرية.

11-3     يجوز لأي طرف الإفصاح عن المعلومات السرية إلى الحد المطلوب قانونًا من قِبَل أي سلطة حكومية أو تنظيمية أخرى أو من قِبَل محكمة أو سلطة أخرى ذات اختصاص قضائي، بشرط أن يخطر  الطرف الآخر قدر الإمكان  بشأن أي إفصاح من ذلك القبيل إلى الحد المسموح به قانونًا.

 

12-      المدة

12-1     مدة هذه الاتفاقية هي سنة (1) واحدة تبدأ من تاريخ النفاذ ("المدة") وتُجدد تلقائيًّا في التاريخ السنوي ما لم تُنهَ بالتوافق مع بند الإنهاء. في حال إصدار خطة تكافل تبعًا لأي معاملة جرى بدئها من خلال هذا التسهيل فتسري مدة هذه الاتفاقية حتى مدة خطة تكافل المعني حسبما صدر إلى العميل. 

 

13-      الإنهاء

13-1     تحتفظ سكون تكافل بالحق -وفقًا لتقديرها وحدها- في إنهاء استخدام المستخدم للتسهيل و/أو أي من الخدمات مع الأثر الفوري دون إصدار أي إخطار مسبق للمستخدم.

13-2     في حال اختيارك إنهاء هذه الاتفاقية ينبغي عليك التواصل فورًا مع سكون تكافل خطيًّا وأن تطلب إلغاء تفعيل/حذف هوية المستخدم الخاصة بك. ومع ذلك، تستمر في تحمل مسؤولية جميع المعاملات التامة باستخدام التسهيل إلى أن يُلغى وصولك من التسهيل.

13-3     دون تحديد لأي حق أو سبيل انتصاف آخر قد يكون لدى سكون تكافل بموجب شروط وأحكام الاتفاقية هذه أو خلاف ذلك، إذا طرأت الحاجة تحتفظ سكون تكافل بالحق في وقف حقك في استخدام الخدمات الإلكترونية فورًا ودون إخطار مسبق إليك. في حال أي وقف مؤقت من ذلك القبيل يجوز للعميل أن يطلب إعادة التسهيلات إلى الخدمة بالتواصل مع سكون تكافل. تحتفظ سكون تكافل بالحق -وفقًا لتقديرها وحدها- في منح إعادة استخدام أي من التسهيلات أو الخدمات الإلكترونية إلى الخدمة أو رفض ذلك.

 

14-      التنازل

14-1     لا يُمثِّل أي إخفاق أو تأخير من جانب سكون تكافل في ممارسة أي صلاحية أو حق أو سبيل انتصاف بموجب هذه الاتفاقية تنازلًا عن ذلك، ولا تعوق أي ممارسة جزئية من سكون تكافل لأي صلاحية أو حق أو سبيل انتصاف أي ممارسة بديلة أخرى لذلك أو ممارسة أي صلاحية أو حق أو سبيل انتصاف آخر. تكون سُبل الانتصاف المنصوص عليها في هذه الاتفاقية تراكمية ولا تستثني أي سبيل انتصاف نص عليها القانون.

 

15-      العلاقة بين الطرفين

15-1     لا يوجد هنا ما يُعد أو يُفسر من قِبَل الطرفين أو أي من الغير بأنه ينُشئ شراكةً أو علاقة وكالة أو مشروع مشترك بين الطرفين أو أي من وكلائها المعنيَيْن. لتجنب الشك، لا يتمتع أي طرف بالصلاحية أو السلطة بموجب هذه الاتفاقية لإلزام الطرف الآخر أو لمنح وعود أو إقرارات في أي ظروف أيًّا كانت بالنيابة عن الطرف الآخر.

 

16-      قابلية فصل البنود

16-1     كل من نصوص هذه الاتفاقية قابلة للفصل عن بعضها الآخر، وإذا كان نص واحد أو أكثر غير قانوني أو غير سارٍ أو غير قابل للنفاذ أو أصبح كذلك في أي وقت فإن سريان بقية نصوص هذه الاتفاقية أو قانونيتها أو قابليتها للنفاذ لا تتأثر أو تتلف بأي طريقة.

 

17-      التغييرات التي تطرأ على الشروط

17-1     تحتفظ سكون تكافل بالحق في إجراء تغييرات على هذه الاتفاقية من حينٍ لآخر لتناول تغييرات تشمل تلك المطلوبة بموجب القانون أو التغييرات التنظيمية أو حسبما تكون مطلوبة بسبب التغييرات في الأداء الوظيفي المعروض من خلال التسهيل أو لأي أسباب أخرى وفقًا لتقدير سكون تكافل وحدها. تشكل مواصلتك في استخدام التسهيل بعد تاريخ إخطارك بالتغييرات قبولًا لتلك الشروط المُعدَّلة.

 

18-      القانون الحاكم

18-1     تحكم قوانين دولة الإمارات العربية المتحدة وتُفسِّر هذه الاتفاقية وأي منازعة أو مطالبة ناشئة عنها أو عن موضوعها أو تكوينها أو تتصل بذلك (بما في ذلك المنازعات أو المطالبات غير التعاقدية). يخضع كل طرف للاختصاص القضائي الحصري لمحاكم دولة الإمارات العربية المتحدة.

 

يُؤكد المستخدم بأنه قرأ الشروط والأحكام الواردة آنفًا وفهمها وقبلها ويقر بتقديمه هذه الاتفاقية إلى سكون تكافل عن طريق النقر على زر "أقبل" و/أو المضي قدمًا في إدارة المعاملة من خلال التسهيل.
